Varonis got a 52% premium. What that tells you about data security prices.

Varonis got a 52% premium. What that tells you about data security prices. Here is the question worth sitting with: if Varonis was already up roughly 98% over the six months before this deal was announced, and a sophisticated private equity buyer with full access to the books still paid a 52% premium to the pre-rumor price, what does that say about what the public market had been getting wrong? The deal is one of the largest cybersecurity acquisitions announced so far in 2026. Varonis shareholders receive $49.75 per share in cash, a 52% premium to the closing stock price of $32.71 on June 22, the last full trading day before rumors of a potential sale emerged. Thoma Bravo, which already owns Proofpoint, is not known for overpaying. When it writes a check this size, the gap between that June price and $49.75 is a signal worth decoding. Why this deal matters now. The transaction values Varonis at approximately 53 times last twelve months free cash flow and 8.4 times last twelve months revenue. The broader public cybersecurity market trades at roughly 8x trailing revenue as of August 2026. So Varonis is being taken out right at the sector average, even though its growth profile is faster than most. That is the key tension: a buyer is paying market-rate revenue multiples for a business growing well above market rates. SaaS annual recurring revenue was $726 million as of June 30, 2026, up 52% year over year. Varonis delivered Q2 2026 revenue of $180 million, up from $152.2 million a year earlier. The SaaS transition that weighed on near-term margins for years is nearly done: SaaS revenues accounted for 95.4% of revenue in the three months ended June 30, 2026. What Thoma Bravo is buying is a business that has already absorbed most of the transition pain and is now entering the phase where operating leverage compounds. The strategic bet. The deal pairs the email security giant's threat intelligence with Varonis' visibility into corporate data, as both companies race to secure the AI agents now roaming enterprise networks. Varonis focuses on identifying and classifying sensitive data, managing permissions, and detecting suspicious data usage. That capability is increasingly rare. CrowdStrike and Palo Alto Networks dominate endpoint and network security, but data-layer visibility at Varonis' depth has no obvious public-market substitute at scale. Proofpoint plans to create what it describes as the largest data and AI cybersecurity organization and a leading pure-play cybersecurity company. Ontario Teachers' Pension Plan has agreed to make an investment into Proofpoint in connection with the transaction, adding institutional credibility to the financing structure. Bull case and bear case. The bull case for existing shareholders is simple: the cash is locked in. The deal, approved unanimously by Varonis' board, is expected to close in the first half of 2027, subject to shareholder and regulatory approvals. The arb spread, with VRNS trading around $47.34 as of the October 15, 2026 close, reflects standard deal-close risk on an uncomplicated transaction. For investors watching publicly listed peers, the implications are more interesting. Bloomberg Law reported Thursday, October 15, 2026, that the transaction underscores how private equity-related dealmaking in the technology sector is rebounding after concerns about artificial intelligence drove a steep selloff in software stocks earlier this year. If Thoma Bravo sees this as the right moment to pay up for data security, that view has implications for how the market should price CrowdStrike's data protection capabilities, Palo Alto's Cortex platform, and any other vendor that has been building toward the same AI-era data security positioning. The bear case is regulatory and timing. A deal of this size, crossing international jurisdictions given Varonis' Israeli founding, requires careful navigation. An independent board committee conducted an extensive evaluation before the deal, during which the company approached various strategic and financial buyers. That process suggests the $49.75 price reflects genuine price discovery, not a rushed first offer. Bottom line. Varonis shareholders got a clean exit at a price that vindicates years of platform investment. What is more useful for active investors is the implicit message: a buyer with private-market discipline and full due diligence access decided that data security assets are worth more than where public equity markets had been pricing them. In a sector where CrowdStrike and Palo Alto routinely command 20x-plus revenue multiples, a takeout at 8.4x for a 52%-ARR-growth business looks like a floor, not a ceiling, for what this category is actually worth.

Proofpoint to buy Varonis for $6.3B in all-cash deal at 52% premium

Proofpoint, a Thoma Bravo portfolio company, will acquire cybersecurity firm Varonis in an all-cash deal valued at about $6.3 billion. The companies announced the agreement on October 15, 2026. Varonis shareholders will receive $49.75 per share, a 52% premium to its $32.71 closing price on June 22, 2026, the last full trading day before initial sale rumours. The deal values Varonis at about 8.4x last-twelve-month revenue. The combined company will serve more than 16,000 enterprises and aims to offer a unified data and AI security platform. Varonis' board unanimously approved the deal, which is expected to close in the first half of 2027, subject to shareholder and regulatory approvals. Thoma Bravo is providing equity and debt financing, and Ontario Teachers' Pension Plan will also invest in Proofpoint.

Varonis and Cohesity: improving cyber resilience with data security.

Varonis and Cohesity: improving cyber resilience with data security. Varonis and Cohesity close the backup dataset security gap in one integration. Last updated September 30, 2026 Backup datasets often contain sensitive information - from PII to intellectual property - and a wide range of business-critical data. Without visibility into their backups, security teams are left with a blind spot that increases the blast radius and impedes cyber recovery. Together, Varonis and Cohesity close that gap, pairing deep insight into backup data with stronger security and faster recovery. Varonis integrates with Cohesity to combine proactive data security with cyber resilience, surfacing what's inside backup data, automating remediation, detecting threats, and enabling secure recovery. How Varonis and Cohesity reduce risk and strengthen resilience Varonis and Cohesity address the gap between data security and cyber resilience, from discovery through recovery. Each layer builds on the last: Discover and classify sensitive data Varonis automatically discovers and classifies sensitive and regulated data across Cohesity Data Cloud, helping organizations identify risk, reduce data exposure, strengthen cyber resilience, and accelerate recovery efforts. Continuous visibility into sensitive data supports compliance, retention requirements, and AI readiness. Lock down access and shrink the blast radius Overexposed data is a breach waiting to happen. Varonis maps your entire permissions structure, providing visibility into where data resides, who has access to it, and who's using it. From there, you can enforce least privilege: managing access at a granular level and safely automating permission changes, while shrinking the blast radius with minimal effort. Detect and stop threats in real time Varonis builds baseline behavioral profiles for users and non-human identities, then continuously monitors for the activity that signals an attack, including suspicious data access, lateral movement, and privilege escalation. When something looks wrong, Varonis can alert your team and leverage automated responses to prevent data from being affected, like shutting down user sessions and changing passwords, with no wait for manual triage. And for organizations that want 24x7 coverage, Varonis Managed Data Detection and Response (MDDR) provides expert-led monitoring, investigation, and response to help stop threats before they impact critical data. Contain ransomware and recover fast If ransomware reaches your data, the two platforms work together to contain and recover. Varonis flags the abnormal file activity that signals encryption and triggers an automated response to lock it down. Cohesity hardens the data itself with AES-256 encryption, multifactor authentication, DataLock for WORM and FIPS-compliant encryption. And because Cohesity keeps unlimited, fully hydrated snapshots, you can mass-restore files, VMs and application objects almost instantly, cutting recovery time from days to minutes. Optimize cost Varonis Data Lifecyle Management continuously identifies redundant, obsolete, and trivial (ROT) data, helping organizations safely archive or dispose of data that no longer provides business value. By shrinking the amount of data stored and protected in Cohesity, customers can improve storage efficiency, reduce infrastructure costs, and maintain a cleaner, more manageable data estate while preserving compliance and security requirements. Complete visibility, protection, and recovery Security teams work faster when the picture is unified. By continuously identifying sensitive, stale, and overexposed data, Varonis helps organizations reduce cyber risk before an incident occurs and provides the context needed to prioritize recovery efforts when one does. Cohesity gives you a single UI and enterprise search across silos, VMs, backups, data centers, remote sites, and multiple clouds. Varonis layers on the context that makes that data defensible: classification, automated remediation, threat detection, and ROT reduction. Together, Varonis and Cohesity deliver a unified approach to data security and cyber resilience, helping organizations protect sensitive data throughout its lifecycle. Varonis recognized as a Pace Setter in the Gartner(R) Emerging Market Quadrant for AI Application Security - Established Vendors.

Varonis recognized as a Pace Setter in the Gartner(R) Emerging Market Quadrant for AI Application Security - Established Vendors. A new Gartner market report takes shape as enterprises work to secure the new AI stack. MIAMI, Sept. 21, 2026 (GLOBE NEWSWIRE) - Varonis Systems, Inc. (Nasdaq: VRNS), the data and AI security leader, today announced it has been recognized as a Pace Setter in the Gartner(R) Emerging Market Quadrant for AI Application Security - Established Vendors as of September 2026. The report evaluates vendors on their potential to execute and potential for Market Disruption. Gartner defines the AI application security market as technologies that protect enterprise-developed AI applications and agents by combining security testing, exposure management, and runtime defense to detect, alert on, or block threats. Delivered via SaaS or on-premises technologies, these tools enable cybersecurity and risk teams to manage posture, conduct adversarial testing, and enforce real-time protection of AI applications. "The more data an AI system can reach, the more valuable and riskier it becomes," said Rob Sobers, CMO at Varonis. "At Varonis, we've built the trust layer that helps organizations to securely connect any AI system to any data source." As companies deploy AI applications at scale, these systems are no longer limited to analyzing data: they read, write, modify, and act on it at machine speed. This shift introduces a new class of risk. Without knowing which systems exist, what they're doing, or what data they can reach, organizations can't safely use AI at scale. By integrating AI application visibility and enforcement with the leading Data Security Platform, Varonis gives organizations a way to adopt AI while working to keep risk under control. Varonis launches Data Lifecycle Management to automate cleanup of redundant data and boost AI security revenue

Varonis Systems launched Varonis Data Lifecycle Management, a capability that automatically identifies and removes redundant, obsolete, and trivial data across enterprise environments. The tool connects data cleanup to sensitivity, access, and activity context, aiming to reduce storage waste, improve AI output quality, and help organisations address compliance issues. The new feature builds on Varonis Atlas, the AI security platform that became generally available in March 2026. Together, these products expand Varonis' role from protecting unstructured data to governing how data is stored, used, and cleaned across cloud and AI partnerships. Despite product momentum, investors face near-term risks around execution in the SaaS transition and pressure on margins. Analysts project revenue of $1.1 billion by 2029, though some warn that on-premises churn could limit growth.
