Requirements
  • A Bachelor's or Master's degree in Law, Economics, Business Management, Engineering or a related discipline with a strong commercial or legal component.
  • A minimum of 3–5 years of experience in contract management, commercial management, legal or procurement roles.
  • Demonstrated experience drafting, reviewing and negotiating commercial contracts.
  • Experience with Contract Lifecycle Management software.
  • Familiarity with public-sector procurement processes in Italy and/or France.
  • Experience in technology or systems integration sectors involving hardware and software solutions.
  • Experience managing contracts in multi-jurisdictional environments.
  • English proficiency at C1 level.
  • French proficiency at B2 level, including contractual reading and negotiation in French.
Responsibilities
  • Manage the full contract lifecycle for assigned accounts, from pre-award review through execution, variation, renewal and close-out.
  • Identify, assess and mitigate contractual risks, including liability clauses, service-level agreement exposure, penalty provisions, force majeure and intellectual property rights.
  • Negotiate contractual terms, pricing adjustments and scope variations with customers and suppliers.
  • Monitor and enforce contracts to protect company margins.
  • Interface with Business Development, Legal, Finance and Project Management on contractual and commercial matters.
  • Support pre-sales and bid processes by addressing contractual risk and commercial structuring.
  • Draft, review and negotiate contract terms, amendments, variations, change orders and extensions.
  • Track, meet and document contractual obligations.
  • Maintain a live contract risk register for assigned accounts.
  • Monitor project scope against contractual commitments in coordination with Project Managers.
  • Manage scope deviations and negotiate change orders so out-of-scope work is contractually captured and commercially valued.
  • Track contractual service-level agreement compliance across assigned accounts.
  • Manage penalty exposure and bonus/malus mechanisms.
  • Escalate and resolve performance disputes with customers.
  • Oversee invoicing milestones according to contract payment terms.
  • Manage price revision clauses, including ISTAT and inflation indexation.
  • Monitor receivables and coordinate with Finance on collections and cash-flow forecasting.
  • Review tender documentation, terms and conditions, and contractual requirements during bid preparation.
  • Identify contractual risks and non-standard clauses in tenders.
  • Draft contractual sections of proposals and customer-facing commercial documents.
  • Review and negotiate supplier and subcontractor agreements.
  • Align back-to-back obligations with prime-contract requirements.
  • Manage supplier claims and disputes.
  • Apply Italian and French public procurement law, applicable European Union procurement directives, and contractual data-protection obligations.
  • Manage contract acceptance, final invoicing, warranty obligations and post-delivery contractual commitments.
  • Lead contractual and commercial negotiations with customers, procurement counterparts and suppliers.
  • Identify upsell opportunities, value-recovery mechanisms and commercial levers within existing contracts.
  • Translate operational issues into contractual claims or recoverable variations.
  • Manage relationships with customer commercial and procurement contacts and internal Project Managers, Legal Counsel, Finance and Business Development.
  • Act as the primary commercial interface with strategic accounts.
  • Own commercial and contractual interactions with assigned customers.
  • Escalate operational issues into formal contractual positions where appropriate.
  • Make timely commercial decisions balancing contractual risk, financial exposure and relationship preservation.
Desired Qualifications
  • Professional certification in contract management, such as IACCM or CPCM, or an equivalent certification.
  • Knowledge of EMV/NFC payment standards or automatic fare collection systems.
