Requirements
  • 5–7 years of experience in a Finance, Banking, or Structured Finance practice at a reputable law firm, investment bank, or other financial institution.
  • Exposure to or interest in structured finance, such as asset-backed facilities, collateralized loan obligations, or complex collateral structures.
  • A Juris Doctor from an accredited law school.
  • Active membership in good standing of the New York State Bar.
  • Strong attention to detail and excellent drafting skills.
  • Ability to manage multiple workstreams and meet tight deadlines.
  • Ability to work well both with a team and independently under limited supervision, prioritize work, meet deadlines, and adapt to changing organizational needs.
  • Willingness to work overtime as workload requires.
  • Work authorization in the United States on a full-time basis without employer sponsorship now or in the future.
Responsibilities
  • Draft and negotiate primary and ancillary finance documents for finance, banking, and structured finance transactions, including credit agreements, security agreements, and intercreditor agreements, using Loan Syndications and Trading Association and Loan Market Association frameworks as well as bespoke documentation for complex or specialty finance transactions.
  • Assist in executing structured finance transactions, including warehouse facilities, asset-based lending, and securitization-related matters, by reviewing relevant documentation and legal opinions across multiple asset classes, including residential mortgage-backed securities, commercial mortgage-backed securities, asset-backed securities, and consumer assets.
  • Independently manage assigned transaction workstreams and work effectively within deal teams, coordinating with internal stakeholders and outside counsel to support transaction closings.
  • Participate in client calls and meetings, support senior team members, and respond to client requests in a timely and professional manner.
  • Participate in the firm’s training programs and take ownership of discrete workstreams to develop skills toward senior-level responsibilities.
  • Monitor relevant regulatory and legislative changes and advise internal stakeholders regarding their potential impact on the firm’s business.
  • Work with internal clients on special projects as requested.
  • Manage outside counsel and outside legal expenses.
  • Assist with third-party matters, nondisclosure agreements, engagement letters, and ancillary litigation matters.
Desired Qualifications
  • Prior experience advising on distressed situations, special situations, restructurings of distressed assets, and financing-related transaction documents, including Loan Syndications and Trading Association and/or Loan Market Association syndicated loan documentation.
  • Large law firm or investment bank experience.

Piper Sandler names Q2 Holdings top pick with $82 target on strong subscription growth

Piper Sandler analyst Bill Carcache initiated coverage of Q2 Holdings with an Overweight rating and an $82 price target on 10 September. The research firm named Q2 Holdings its top pick in the payments and consumer finance sector. Piper Sandler cited the company's subscription revenue growth, visibility into annual recurring revenue, and improving free cash flow conversion. The firm also highlighted Q2 Holdings' expanding margins and debt-free balance sheet. Q2 Holdings reported second-quarter revenue of $219.8 million, up 13% year-over-year. Adjusted EBITDA reached a record $62.8 million, up 37% year-over-year. Subscription annualised recurring revenue increased 15% year-over-year to $825.5 million. Hedge fund holdings in Q2 Holdings declined to 31 positions in the second quarter from 37 in the first quarter.

Piper Sandler beats Q2 revenue estimates by 10% with $491M, up 21% year-on-year

Piper Sandler reported Q2 revenues of $491.1 million, up 21.2% year on year and exceeding analyst expectations by 10%. The investment bank, which provides advisory services and institutional brokerage, beat earnings per share estimates as well. Despite the strong results, shares fell 1.1% following the announcement, currently trading at $73.00. Investor expectations may have been higher than published Wall Street projections. Across the investment banking and brokerage sector, 15 tracked companies reported solid Q2 performance. As a group, revenues beat consensus estimates by 4.5%, though next quarter's guidance came in 1.1% below expectations. Perella Weinberg Partners emerged as the quarter's best performer, reporting revenues of $156.5 million and surpassing analyst expectations by 8.1%.
