Pinewood stock jumps double digits: takeover offer boosts the price.

Pinewood stock jumps double digits: takeover offer boosts the price. 07/27/26 2:06 PM A takeover offer from Ridgeview Partners provides strong tailwinds for Pinewood stock. Here is what the financial investor is offering. * Ridgeview Partners offers 448 pence in cash per Pinewood share * Offer values Pinewood at approximately 545 million British pounds * Shareholders with nearly 49 percent of shares already support the offer The British software company Pinewood Technologies has received a non-binding takeover offer from Ridgeview Partners. The US investment firm is offering, through the newly formed company U.K. Piston Bidco, 448 pence per share in cash, valuing Pinewood at approximately 545 million British pounds (equivalent to about 727 million US dollars). The offer represents a premium of 43 percent over Wednesday's closing price of 314 pence, as well as 53 percent over the one-month and 64 percent over the three-month volume-weighted average price. Pinewood stock reacted to the start of the week with a strong price jump, gaining 34.92 percent to 425 pence in London at times. Cash for Pinewood shares or an alternative to cash payment. Instead of cash payment, eligible shareholders can alternatively enter a rollover structure and receive non-listed shares in a company managed by Ridgeview in the Cayman Islands, limited to a total volume of approximately 250 million pounds. Shareholders holding together about 48.71 percent of the shares have already given letters of support for the offer, including Lithia UK Holding with 31.95 percent and Working Capital Partners with 7.19 percent. Shareholders with approximately 32.81 percent of the capital have also signaled their intention to choose the rollover alternative. What Pinewood actually does. Pinewood, which now positions itself as "Pinewood.AI," operates a dealer management system: software that allows car dealers to manage vehicle sales, workshop appointments, spare parts, accounting, and customer data in one system. The company was part of the Pendragon automotive retail group for 25 years before being spun off in 2023, and has since been expanding internationally, including in North America since this year. Its global competitors include mainly US providers such as Reynolds and Reynolds, CDK Global, and Tekion, all of which are unlisted. Second takeover attempt within a year. Pinewood's board stated that it is generally willing to recommend the offer to shareholders for acceptance, should Ridgeview announce a firm intention to make an offer. Under UK takeover rules, Ridgeview must either announce a firm offer or declare it will not make one by August 21. This is the second takeover attempt within a year: in January, the investment firm Apax Partners submitted an offer of 500 pence per share, but withdrew in February, citing a difficult market environment. Whether Ridgeview uses the deadline until August 21 for a firm offer or, like Apax before, pulls out, will likely determine the further price development. Should the transaction go through, Pinewood would be delisted and continued as a private company under Ridgeview's leadership. Pinewood appoints Constellation founder Avril Palmer-Lavery as deputy chair. Pinewood Technologies Group has appointed Avril Palmer-Lavery as deputy chair and non-executive director. Palmer-Lavery is a heavy hitter in automotive. She is the founder and executive chair of Constellation Automotive Group, the largest vertically integrated digital car marketplace. She has served as CEO of Autologic Holdings, CEO of Universal Salvage and executive chairman of the Stobart Group. Constellation operates companies across the automotive spectrum including dealer group Marshall Motors, which is ranked six in the Motor Trader Top 200 Dealer Groups with annual turnover of £3.7bn. It also owns the UK's biggest auction group BCA, the UK's biggest car buying company webuyanycar and cinch, the online used car platform. The appointment is timely. Pinewood, under CEO Bill Berman noted the Apax announcement and said it was "very confident" in the positive long-term prospects for the group. Ian Filby, non-executive chairman of Pinewood.AI, said: "On behalf of the board, I am delighted to welcome Avril to Pinewood.AI. "Her track record as a leader across the automotive value chain, gives her a rare combination of operational, commercial and governance experience. "Her perspective will be a real asset to the Board as Pinewood.AI continues its next phase of growth, and I look forward to her contribution." Palmer-Lavery said: "Pinewood.AI is a quality UK technology business with a differentiated cloud-native platform, and a clear opportunity in the global dealer management software market. "I am looking forward to working with Ian and the Board to support the next phase of the Group's development."
