Requirements
  • A J.D. from an accredited law school and admission to practice in at least one U.S. state.
  • Five to eight years of combined law firm and in-house experience.
  • Demonstrated experience drafting and negotiating technology agreements, including software-as-a-service agreements and perpetual software licenses.
  • Ability to balance legal risk with commercial outcomes and advise non-legal stakeholders.
  • Strong negotiation skills and the ability to resolve complex commercial issues pragmatically.
  • Ability to operate independently, prioritize effectively, and manage a diverse portfolio of legal matters.
  • Working knowledge of intellectual property concepts, including patents, copyrights, and trade secrets, as they arise in commercial contracts.
  • Excellent written and verbal communication skills, including the ability to distill complex legal concepts for business audiences.
  • Strong organizational and time-management skills and comfort working with limited supervision.
Responsibilities
  • Draft, review, and negotiate commercial agreements, including software-as-a-service agreements, perpetual software licenses, reseller and distribution agreements, nondisclosure agreements, professional services agreements, and statements of work.
  • Lead negotiations with counterparty counsel while balancing legal risk and commercial objectives.
  • Manage the contract lifecycle from initial negotiation through execution and post-close administration.
  • Advise Sales, Product, Finance, and Operations on contract terms, legal implications, and risk mitigation.
  • Translate business needs into workable legal solutions and manage internal stakeholder expectations and timelines.
  • Provide guidance on negotiation strategies and commercial risk to non-legal colleagues.
  • Review and negotiate intellectual property ownership, licensing, and indemnification clauses.
  • Advise on intellectual property implications of software-as-a-service arrangements, data usage, and third-party technology integrations.
  • Identify and mitigate intellectual property exposure in customer and vendor agreements.
  • Advise on privacy and data protection obligations, including GDPR and CCPA, within commercial contracts.
  • Ensure agreements include appropriate data handling, security, and breach notification terms.
  • Monitor evolving privacy laws and regulatory considerations affecting B2B software-as-a-service operations.
  • Support contracts and legal matters across the Americas, EMEA, and APAC regions.
  • Navigate multi-jurisdictional considerations in customer and vendor agreements.
  • Collaborate with global teams and manage external counsel in non-U.S. markets as needed.
  • Contribute to legal risk identification and mitigation strategies.
Desired Qualifications
  • Industry experience in retail, financial services, or banking.
  • Familiarity with GDPR, CCPA, and other data protection and privacy laws relevant to B2B operations.
  • Comfort using artificial-intelligence-assisted legal tools such as Microsoft Copilot and Claude for contract review, analysis, and legal research.
  • Experience working with geographically distributed teams across multiple time zones.
  • Deep familiarity with software-as-a-service business models, cloud computing, and technology licensing.
  • Experience developing negotiation strategies and managing high-stakes commercial discussions.
