Varex Imaging Corporation's shares surged over 48% in pre-market trading after Teledyne Technologies announced it will acquire the company for approximately $1.1 billion. Teledyne will pay $18.90 per share in cash, representing a premium of over 50% to Varex's Friday closing price of $12.41. The transaction is expected to close in early 2027. The aggregate value factors in Varex's equity awards and net debt as of 3 April 2026. Varex CEO Sunny Sanyal said the deal provides substantial value for shareholders whilst offering opportunities to accelerate adoption of advanced imaging solutions. Varex also reported third-quarter results, with revenue rising nearly 4% year-over-year to $210.5 million. Adjusted earnings per share of $0.31 beat the consensus estimate of $0.20.
Teledyne Technologies will acquire Varex Imaging Corporation for $18.90 per share in cash, valuing the transaction at approximately $1.1 billion, including Varex's equity awards and net debt as of 3 April 2026. Both companies' boards unanimously approved the deal. Varex develops X-ray sources, digital X-ray detectors, high-voltage interconnects, and imaging software for medical diagnostic imaging, non-destructive inspection, security systems, and analysis applications. Teledyne Executive Chairman Robert Mehrabian noted the companies serve similar customers with complementary technologies and minimal overlap. Varex produces detectors for high-radiation environments and advanced photon counting detectors, whilst Teledyne has never manufactured X-ray tubes for radiography, fluoroscopy, or computed tomography. Varex CEO Sunny Sanyal said the acquisition provides substantial premium for shareholders and opportunities for customers and employees across medical and industrial markets.
