Requirements
  • A J.D. or LL.B. degree from an accredited institution.
  • At least 15 years of legal experience in corporate law, with an emphasis on contracts and mergers and acquisitions.
  • Significant experience in mergers and acquisitions, commercial contracts, and corporate governance.
  • Ability to negotiate detailed, sensitive legal issues with clients and other interested parties.
  • Broad knowledge of litigation, corporate law, and labor law to advise employees on a variety of subjects.
  • Ability to serve as lead mergers and acquisitions counsel, providing leadership or support across transaction structuring, overall due diligence, documentation, and coordination of signing and closing.
  • Human relations skills necessary to organize and manage the activities of other attorneys and managers.
  • Experience with a Quality Management System.
  • Working knowledge of the ABS Health, Safety, Quality and Environmental Management System.
Responsibilities
  • Serve as the chief legal adviser of ABS Group and lead corporate transactions, including mergers and acquisitions, corporate governance, and corporate legal and commercial contract matters.
  • Manage a small legal department, counsel management on legal implications and liabilities associated with Company activities, provide legal services in judicial proceedings, and obtain outside counsel as needed to complement internal resources.
  • Collaborate with senior executives to develop short- and long-range strategic and business plans for ABS Group worldwide, ensuring legal compliance with organic and inorganic growth initiatives, including mergers and acquisitions.
  • Write, review, negotiate, interpret, and manage legal contracts and documents to ensure they meet legal requirements and protect the interests of ABS and affiliated companies.
  • Advise executive management on new and existing laws and legal rights that could affect business operations.
  • Develop and implement policies and procedures to protect ABS assets and ensure the Company and its subsidiaries comply with international, local, state, and federal laws and regulations.
  • Maintain familiarity with company operations and records of registrations, business licenses, and other legal documents.
  • Supervise outside counsel and craft or review legal strategy in response to litigation; provide legal services in judicial proceedings as required.
  • Prepare an operating budget for the Legal Department and ensure the department is organized, staffed, and operated to protect ABS and affiliated companies.
  • Make organizational, staffing, or budget changes as conditions warrant, with approval from the ABS Group CEO.
  • Obtain outside counsel as needed to complement internal legal resources and review their work to ensure it meets ABS standards.
  • Coordinate with the ABS Group Vice President of Finance to ensure risk management and loss prevention programs protect corporate assets.
  • Provide corporate governance support, including drafting Board meeting minutes, preparing written consents and resolutions, and managing corporate books and records.
  • Oversee implementation, operation, and maintenance of the ABS Health, Safety, Quality and Environment Management System in collaboration with senior executives.
  • Be accountable for the Delegation of Authority process and governance for the Company.
  • Serve as secretary of the Board of Directors during meetings, record and publish minutes, and manage creation and approval of Board resolutions.
  • Integrate with and support the broader legal team across the ABS enterprise as needed.
  • Support mergers and acquisitions from strategic fit through due diligence and integration by providing strategic advice and legal counsel.
