  • Ability to work with internal business partners and external parties, including attorneys, entities, government officials, donors, and other third parties.
  • Clear and understandable spoken and written communication, comprehension of complex instructions, and excellent proofreading skills.
  • Knowledge of Microsoft Office products, including Microsoft Word and Microsoft Excel.
  • Juris Doctor degree.
  • License to practice law in Tennessee.
  • Five to seven years of experience in a legal environment or related experience.
Responsibilities
  • Provide high-level, strategic legal advice and counseling on assigned technology matters, primarily technology transactions.
  • Draft and revise master services agreements, general terms and conditions agreements, terms of service, end-user license agreements, information security provisions, statements of work, data processing agreements, data privacy agreements, privacy policies, privacy notices, liability provisions, artificial intelligence and machine learning agreements, cloud computing and software-as-a-service agreements, and infrastructure, platform, and software-as-a-service agreements.
  • Develop knowledge of and support related legal needs, including fundraising, charitable registrations, gaming, licenses and permits, grant compliance, insurance and risk management, property matters, and special projects.
  • Identify legal issues and work with internal departments to find cooperative, efficient, and effective solutions.
  • Represent the organization in dealings with attorneys, vendors, entities, government officials, donors, and other third parties.
  • Provide legal advice and counsel on matters including fundraising, regulatory compliance, contracts, human resources and policies, technology and marketing, research, and special projects.
  • Handle higher-level legal issues from inception to completion with minimal supervision and keep supervisors appropriately informed.
  • Work as a strategic business partner with internal departments and represent the organization to third parties.
  • Develop policies relating to industry-specific issues and internal practices, and assist with implementing action plans.
  • Respond promptly and completely to information and research requests submitted to the Legal Department.
  • Generate written communications documenting and disseminating legal conclusions to individuals with a need to know.
  • Maintain and develop expertise regarding laws, regulations, and court decisions affecting fundraising and other applicable areas of law.
  • Assist senior legal leadership with legal, managerial, and administrative matters.
  • Conduct in-depth legal research and analysis and identify nuances and enterprise-wide impacts of legal advice and proposed solutions.
