Transcat expands biomedical business with $12.8M acquisition. Rochester-based Transcat Inc. is expanding its biomedical calibration business into the southeastern U.S. with the $12.8 million acquisition of a North Carolina company that serves hospitals and health care facilities. Transcat announced this week that it acquired privately held Southeastern Biomedical Associates Inc. The purchase price was paid in cash and is subject to customary adjustments and holdback provisions. Founded in 1996 and based in Granite Falls, North Carolina, Southeastern provides calibration, repair, preventive maintenance, electrical safety inspections, documentation and regulatory compliance services to hospital networks and other health care facilities throughout the Southeast and beyond. The company also sells biomedical equipment, patient-ready accessories and equipment parts. Its services include helping customers acquire equipment and liquidate assets. The acquisition builds on Transcat's existing biomedical business while expanding its geographic reach in a market the company expects to grow, according to company leaders. For Transcat, the deal is part of a broader strategy to build scale in highly regulated industries where equipment failures can carry significant financial, operational and safety consequences. "The acquisition of Southeastern Biomedical reinforces Transcat's strategy of deepening our presence in the Life Science sector, one of the most regulated and mission-critical end markets we serve," said Jaime Irick, Transcat's president and CEO. Transcat has more than 30 calibration laboratories across North and Central America. The company sees that footprint as a competitive advantage as hospital networks and other regulated customers increasingly need consistent, accredited calibration services across multiple locations. Irick said Southeastern's reputation and customer base will allow Transcat to serve a larger geography while maintaining its focus on quality and turnaround times. The acquisition also brings Southeastern's employees and owners into Transcat. Co-owners Boyd Campbell and Greg Johnson will join the company. Southeastern has built its business over more than three decades serving customers throughout the Southeast and beyond, Johnson said. He said Transcat was the right partner to support the company's next phase of growth. "Transcat has developed a reputation in this industry for treating acquired employees and customers right," Johnson said, adding that he and Campbell look forward to being part of the future of Transcat Biomedical. The acquisition comes as Transcat continues to emphasize mergers and acquisitions as part of its growth strategy. Irick said the combination should create opportunities to expand service across the companies' customer bases while maintaining what he described as industry-leading turnaround times.

The company saw double-digit growth in both its Service and Distribution segments. CEO Jaime Irick attributed the performance to strong demand in regulated markets including life sciences, aerospace, and energy. During the earnings call, analysts focused on sustainability of growth drivers. Questions centred on end market performance, the company's rental business trajectory, and AI productivity improvements. Lake Street Capital asked about the rental business outlook, with CFO Thomas Barbato projecting high single-digit to low double-digit growth. Analysts also probed margin sustainability and market share potential. Operating margin declined to 5.5% from 7% year-on-year.

Free cash flow improved to $4.84 million from negative $975,000 in the same quarter last year. However, operating margin declined to 4% from 7.1% in the prior-year quarter. Analysts forecast revenue growth of 6% over the next 12 months, a slowdown from the company's recent 14.5% two-year growth rate.
