Solstice and Element Solutions scrap $14.5B merger after shareholder pushback

Solstice Advanced Materials and Element Solutions have mutually terminated their $14.5 billion merger agreement after receiving feedback from shareholders on both sides who preferred the companies remain independent. No termination fee will be paid by either party. The deal, announced on 6 July, would have combined Solstice's refrigerants and specialty materials businesses with Element's electronics chemicals operations. Element shareholders would have received $10 cash plus 0.5 Solstice shares per share. Following the announcement, Solstice's board authorised the company's first share buyback programme worth up to $500 million and reaffirmed recently raised guidance. Solstice shares jumped 15% in after-hours trading, whilst Element gained 4%. The merger would have generated approximately $6.8 billion in 2025 sales and targeted over $180 million in annual run-rate synergies by the third year after closing.
