Requirements
  • A Juris Doctor (JD) from an ABA-accredited law school and an active license to practice in at least one U.S. jurisdiction.
  • 4–6 years of corporate law experience from a law firm, in-house legal team, or a combination.
  • Hands-on experience owning entity governance and corporate maintenance for a multi-entity organization.
  • Working command of cap tables, equity issuances, board governance mechanics, entity management, and state registration and qualification requirements.
  • Experience supporting financings and M&A from the corporate side, including diligence, data rooms, closing mechanics, and post-closing clean-up.
  • Strong project management and follow-through, with the ability to carry multiple workstreams independently and keep them moving without being chased.
  • Ability to provide proactive status updates, escalate early, and work across Finance, Accounting, Compliance, and Operations.
  • Ability to take and apply feedback and bring a solutions-oriented mindset to ambiguous problems.
  • Comfort operating as a hands-on generalist in a rapidly scaling organization with evolving priorities.
Responsibilities
  • Own subsidiary governance and corporate hygiene across OpenLoop and its subsidiaries, including organizational documents, board and stockholder/member consents, officer and director appointments, state registrations and qualifications, annual reports, and good-standing maintenance.
  • Build and maintain the operating model for corporate maintenance, including governance calendars, consent and resolution templates, entity records, and signing authority documentation, so governance is repeatable rather than reactive.
  • Draft, negotiate, and maintain intercompany agreements and internal restructuring documentation, keeping terms aligned with Finance, Tax, and Accounting positions.
  • Support capitalization table accuracy, including equity issuances, option grants, transfers, and ongoing reconciliation with Finance and the equity platform.
  • Run corporate diligence support for financings and transactions by building and managing data rooms, responding to diligence requests, and preparing officer certificates, closing checklists, and signature packets.
  • Own defined workstreams on M&A and strategic transactions, including drafting and negotiating corporate transaction documents, corporate diligence, entity formation, post-closing governance matters, entity consolidation and clean-up, and integration of acquired entities.
  • Serve as the internal resource on entity structure for Finance, Accounting, Compliance, Contracts, Product, and Operations.
  • Support licensing and regulatory filings that depend on corporate structure, including corporate practice of medicine considerations, PC/MSO arrangements, and multi-state registration requirements.
  • Identify and escalate corporate, securities, and healthcare regulatory risk early, with a recommended path forward.
  • Manage outside counsel on assigned governance, entity, and filing matters by scoping the work, holding the budget, and quality-checking deliverables.
  • Perform other duties as assigned.

The test targets women with dense breast tissue, who face higher cancer risk and reduced imaging effectiveness. Certitude analyses thousands of proteins from a blood sample to identify early molecular signals of breast cancer. In a validation study of 1,242 women, it demonstrated 92% sensitivity and 93% specificity, with a negative predictive value exceeding 99.9%. Brightn, an AI-powered mental wellness platform, has partnered with OpenLoop Health to offer integrated mental health support combining daily AI-driven check-ins with on-demand access to licensed therapists. Users can now move from journaling and mood tracking to sessions with credentialed clinicians without leaving the app. The partnership addresses a gap in behavioral health care, where traditional support occurs only during scheduled appointments. Happy Health, a health platform for at-home monitoring, announced Tuesday that it raised $75 million to support the transition to home-based care. The Texas-based company offers an FDA-cleared smart ring for at-home diagnosis of obstructive sleep apnea. It also provides treatment management and daily sleep health measurements. Happy Health's platform uses continuous health data and AI to create a personalized baseline for each patient, helping doctors identify meaningful changes in their health. Sleep is the company's first focus area, but it plans to expand into other areas in the future. Freckleton has experienced these issues firsthand. He had a stroke at the age of 24 and didn't receive a diagnosis for sleep apnea for another seven years, despite it being a common stroke risk factor. Happy Health isn't the only company offering a wearable ring that tracks sleep. Oura also offers a ring that provides users with insights into their sleep and other health metrics, but unlike Happy Health's ring, Oura's is not a medical device and is not intended to diagnose medical conditions. Ultimately, Happy Health aims to "enable continuous monitoring at home so we can detect disease earlier and give physicians the opportunity to intervene before conditions become more serious," Freckleton said.

The startup's FDA-cleared Happy Ring is the first smart ring approved for multi-night sleep testing and continuous biometrics. It diagnoses obstructive sleep apnea and insomnia in as few as three nights with 98% accuracy, according to the company. The platform collects over 2.8 million biometric measurements nightly, building individualised physiological baselines rather than comparing patients to population averages. Happy Sleep includes board-certified sleep physicians and accepts most major insurance plans, including Blue Cross and Medicare. The company plans to extend its continuous monitoring approach to cardiovascular, metabolic, and other chronic diseases.
