Skyworks Solutions (SWKS) stock jumps nearly 10% on Qorvo merger update.

Skyworks Solutions (SWKS) stock jumps nearly 10% on Qorvo merger update. Tldr. Table of Contents * Shares of SWKS climbed 9.79%, finishing at $84.03 versus the previous day's close of $76.54 * Phil Brace, CEO, revealed at a Goldman Sachs investor conference that the $22 billion Qorvo acquisition is approaching its final completion phase with an anticipated year-end close * The transaction terms grant Qorvo shareholders $32.50 in cash alongside 0.960 shares of SWKS stock; existing Skyworks investors will retain approximately 63% ownership of the new combined entity * Pro-forma financials for the merged business project roughly $7.7 billion in revenue with Adjusted EBITDA reaching $2.1 billion * Third-quarter net earnings declined 67.7% compared to the prior year, dropping to $33.9 million, despite exceeding internal forecasts Skyworks Solutions experienced a robust 9.79% surge on Thursday, reaching a closing price of $84.03, following CEO Phil Brace's announcement at the Goldman Sachs Communacopia and Technology Conference in San Francisco that the pending Qorvo acquisition has entered its concluding phases. During his presentation, Brace provided assurance that the transaction remains on schedule for completion prior to the conclusion of 2026. The conference session, broadcast via webcast at 2:25 p.m. PDT, offered executives a valuable opportunity to communicate directly with the investment community during this critical juncture. The substantial price increase elevated SWKS significantly from its previous closing value of $76.54, positioning it closer to the high end of its 52-week trading range spanning $51.93 to $90.90. Shares of Qorvo experienced similar positive momentum, with QRVO advancing 6.77% during the same trading session. Transaction structure and terms. Initially unveiled in October 2025, the acquisition features a combined cash-and-equity structure totaling $22 billion in value. Under the agreement terms, each Qorvo shareholder will be entitled to receive $32.50 cash plus 0.960 shares of SWKS common stock upon deal consummation. Following the transaction's completion, existing Skyworks equity holders will maintain approximately 63% ownership of the unified organization, while Qorvo shareholders will account for the remaining 37% stake. Phil Brace is designated to serve as Chief Executive Officer of the consolidated enterprise. Bob Bruggeworth, currently serving as Qorvo's President and CEO, will transition to a board of directors position. Financial projections for the newly formed company indicate combined pro-forma revenues approaching $7.7 billion with Adjusted EBITDA of approximately $2.1 billion, positioning the entity to compete more effectively against major international semiconductor manufacturers. As the transaction progresses toward completion, Skyworks has been actively extending exchange offers related to Qorvo's existing senior note obligations. Recent quarterly performance and investor activity. Financial results for Skyworks' third fiscal quarter ending in June 2026 revealed a significant 67.7% contraction in net income, declining to $33.9 million from $105 million during the comparable year-ago period. Total net revenues experienced a 3.12% year-over-year decrease, falling to $934.8 million compared with $965 million previously. Nevertheless, Brace emphasized that these results surpassed the company's internal projections. He highlighted robust demand within mobile markets and encouraging growth across broader business segments, with particularly strong double-digit year-over-year expansion in automotive and data center verticals. Institutional investor interest has demonstrated steady momentum. Hedge fund positions in SWKS expanded 8.5% during Q2, rising to $1.517 billion from $1.397 billion in the preceding quarter, while the total count of hedge funds maintaining positions remained consistent at 35. The stock's impressive performance occurred during an otherwise challenging market environment, with the S&P 500, Nasdaq, and Dow Jones all posting losses for the session. This divergence amplified the significance of SWKS's notable advancement. Brace's remarks at the Goldman Sachs conference constitute management's latest public disclosure regarding the timeline and structural elements of the Qorvo combination.
