Requirements
  • A post-secondary degree in law, business, communications, or a related field, or a corporate secretarial designation or training program; equivalent combinations of education and experience will be considered.
  • At least five years of experience supporting senior executives or boards, or working with legal, regulatory tribunal, or compliance processes.
  • Experience carrying out corporate governance practices and processes or equivalent.
  • Exceptional written communication, grammar, and attention to detail for preparing and reviewing board materials and external reports.
  • Strong organizational abilities and project management skills.
  • Proven ability to handle sensitive information and context with confidentiality and care.
  • Ability to maintain the confidentiality of board materials and information, exercising discretion and care.
  • Ability to independently identify and prioritize work and take appropriate action.
  • Ability to identify issues, opportunities, and potential solutions and make thoughtful recommendations.
  • Sound business judgment, discretion, and professionalism when supporting the Board of Directors, Executive Team, and shareholder.
  • Strong verbal communication skills and the ability to communicate clearly and effectively with stakeholders at all levels.
  • Legal authorization to work in Canada.
  • Successful completion of a criminal background check.
  • Two pieces of valid government-issued identification.
Responsibilities
  • Plan and execute the logistics of Board, Committee, and Shareholder meetings, including material preparation and submission.
  • Attend Board and Shareholder meetings and record and produce meeting minutes.
  • Administer, develop, and maintain the Board’s online portal.
  • Provide corporate secretarial support to the ENMAX group of companies, as appropriate.
  • Act in place of the Corporate Secretary when the Corporate Secretary is unable to act.
  • Provide corporate records management and disclosure functions, and provide or procure research on matters relevant to board operations and governance trends.
  • Coordinate corporate governance disclosures and internal and external communication requirements.
  • Track and report on current corporate governance practices.
  • Oversee maintenance of ENMAX’s corporate records and minute books.
  • Prepare documents for Board and Shareholder deliverables, including reports and resolutions.
  • Oversee payroll administration related to the payment of directors’ fees and retainers for Board members.
  • Prepare and send meeting notices, communicate directly with Board members, and prepare agendas, minutes, and board packages.
  • Work with Shareholder Relations, the Strategic Projects Manager, and related functions to prepare for and deliver key Shareholder events, including ENMAX’s annual general meeting.

Mosley brings over 25 years of experience in the electricity sector, focusing on safety, operations, and regulatory frameworks. * Previously served as president of ENMAX Power Corporation in Calgary. * Recognized as one of Canada's Most Powerful Women in 2023 and received a Calgary Influential Women in Business award in 2022. * Holds a Professional Engineer designation and is a Harvard Business School alumna. This appointment is significant as Canada aims to double its electricity capacity, with Mosley's leadership expected to enhance collaboration and drive the modernization of the grid that Canadians rely on.
