Job Description & Requirements (Governance Structure Construction & Operations Lead)

With AIRoA’s rapid business expansion and organizational growth, we are seeking a Governance Lead [or Governance Specialist] to strengthen and solidify the foundation of our association.

In this position, you will not simply operate existing rules, but will integrally drive solutions—ranging from resolving immediate governance-related challenges in business operations to designing and addressing mid- to long-term organizational issues. We look for a leader who can establish an optimal governance framework that balances strategic growth with risk management, ensuring we maintain our business momentum without compromising speed.

既存のルールを運用するだけでなく、事業推進にまつわるガバナンス観点での課題解決から、中長期的な組織課題の設計・解決までを統合的に牽引していただくポジションです。事業推進のスピードを損なうことなく、攻めと守りを両立させる最適なガバナンス体制の構築をリードしていただきます。

Job Responsibilities & Scope

1. Solving Mid- to Long-Term Structural Governance Issues (Design & Implementation of Governance Frameworks)

• Project Leadership: Elevate clear governance challenges—identified as the business phase advances—into specific thematic projects. Plan, design, and drive these projects toward resolution.
• Requirements Definition: Collaborate with external experts and executive management to define and implement new governance requirements and standards.

2. Operation and Continuous Improvement of the Governance Structure

• Monitoring & Process Improvement: Execute and monitor operational processes regarding conflict of interest and related-party transactions, continuously improving them to reflect actual conditions.
• Policy Updates: Update internal rules and regulations in alignment with organizational and business development.
• Feedback Loop Creation: Identify "distortions" or "frictions" observed through daily operations and build a continuous feedback loop to inform and refine mid-to-long-term institutional design.

• 組織及び事業の進展に応じた規程のアップデート。
• 日常的な運用を通じて見えてきた「歪み」や「摩擦」を拾い上げ、制度設計（中長期課題）へフィードバックするサイクル構築。

●Future Mission

You will take the lead in identifying and organizing key risks for each major contract type, developing standard documentation (templates and guidelines), and designing the end-to-end process from review through to execution. Over the medium to long term, your mission will be to build a governance framework linked to board and committee operations, establish lifecycle management covering contracts, purchase orders, acceptance/inspection, and change management, and put in place operational rules robust enough to withstand audits and external accountability.As AIRoA’s overall governance lead, we expect you to oversee large-scale domestic and international deals as well as the organization’s broader risk management framework.

"Design & Structural Thinking" to Build from Scratch: The logical thinking ability to identify core issues within ambiguous, mid-to-long-term challenges, and design business processes and rules by working backward from the ideal outcome.

A Highly Balanced Approach to "Business Growth" and "Defense": The ability to find the optimal solution by considering both quantitative and qualitative aspects of business speed and operational workload—rather than imposing unrealistic rules to eliminate risk entirely.

"Hands-on Execution" and Ownership: The drive to go beyond just proposing ideas; taking ownership to work alongside team members, dive into daily operations, and reliably execute routine tasks such as policy management and monitoring.

Must-Have Requirements

• Experience in Governance, Risk, or Legal: Proven experience in establishing frameworks or driving projects in at least one of the following areas: governance, risk management, legal, or internal controls, within a commercial company, non-profit organization, or consulting firm.
• Concurrent Project & Operations Management: Demonstrated experience in concurrently managing daily operational tasks alongside mid- to long-term structural projects (from the design phase onward).
• High-Level Stakeholder Management: Strong track record of negotiation and building consensus at a high level with executive management and business unit heads.

Nice-to-Have Requirements (Want)

• Hands-On Client-Side Implementation (For Contractors): Experience in embedding yourself within a client organization to lead the hands-on establishment or improvement of back-office operations.
• Conflict of Interest & Related-Party Transactions: Practical experience in designing and operating governance frameworks specifically focused on conflict of interest and related-party transactions.
• Cross-Functional PMO Leadership: Experience in functioning as a cross-functional PMO across the entire organization, looking beyond the traditional boundaries of legal and compliance.

We currently operate out of a spacious office and research facility of over 1,000 m² located in the Ryutsu Center area. In this space, our business teams and engineering teams work in close collaboration, advancing both day-to-day operations and R&D with AI robots always close at hand. The facility is frequently visited not only by members of the AI Robot Association, but also by engineers and researchers from partner companies and representatives from member companies. As a result, it serves as a hub where diverse experts at the forefront of AI and robotics gather and interact.
