Requirements
  • 2-4 years of transactional experience drafting, negotiating, and advising on commercial agreements, including supplier, customer, and technology, including agreements related to intellectual property, development projects, and supply
  • Outstanding communication skills with the ability to advise and build relationships with executive management, teammates, and cross-functional partners
  • Strong analytical skills and business sense with the ability to resolve complex issues in creative and effective ways
  • Ability to develop and facilitate collaboration by cultivating relationships and effectively counseling and communicating with legal and cross-functional partners
  • Ability to function as a generalist to work on other projects as needed to support the Legal Department's mission; and displays a willingness to assist the team with any task needed
  • High degree of self-sufficiency and ability to take ownership of transactions and drive them to completion in a fast-paced and dynamic environment while keeping leader apprised
  • Keen attention to detail
  • Ability to collaborate with with cross functional partners in Finance, Supply Chain, Marketing, and more
  • Strong Microsoft Word, Excel, PowerPoint, Docusign, and Adobe skills and willingness to learn new software tools
  • JD degree, excellent academic credentials, and admission to at least one US state bar
  • Law firm or in-house experience in several of the following specialty areas is preferred: general commercial contracts, supply chain, transportation and logistics, facilities operations and support services
  • Familiarity with Icertis or other contract lifecycle management software
  • Familiarity with Lexis Diligence or other screening software
  • Experience working in an in-house legal department
  • Experience creating legal templates or standard clauses
  • Aerospace and/or transportation industry and manufacturing industry experience
Responsibilities
  • Collaborate with cross-functional business and engineering teams to strategize on, draft, and negotiate a wide range of commercial agreements, with a focus on master service agreements, technology licenses, development agreements, supply agreements, manufacturing agreements, NDAs, and MOUs
  • Assist with the preparation, finalization and publishing of contract templates and updates needed
  • Advise on risk allocation/mitigation, business strategies, and policies
  • Serve as an administrator of company contract lifecycle management system
  • Assist in conducting due diligence screening on third parties
  • Assist in developing, administering and providing guidance to internal teams related to Boom's approval and signature authority processes and procedures
  • Assist with the preparation, review, editing and negotiation of a broad range of legal documents
  • Ability to work with engineering teams to translate their needs into contractual language
  • Work with supply chain and engineering teams to translate their needs into contractual language
  • Summarize complex contractual issues and contract terms, assists in developing negotiation strategies, identifies areas of risk and proposes mitigation plans
  • Prepare tables and summaries displaying Boom's contractual terms, a counterparty's proposed redlines, comments, recommendations, and final negotiated position
