Responsibilities
  • Provide strategic advice and guidance on corporate finance and transactional matters, including debt and equity financings, mergers and acquisitions, joint ventures, and technology transfers.
  • Draft, review, and negotiate complex transactional and commercial agreements.
  • Oversee due diligence investigations and regulatory review to support successful company transactions.
  • Collaborate with strategy, finance, tax, and corporate development teams to support transaction execution and alignment with legal requirements.
  • Provide guidance on corporate governance matters and compliance issues related to corporate transactions.
  • Advise senior management and business stakeholders on the legal implications and potential risks associated with business decisions.
  • Monitor legal and industry developments affecting corporate finance and mergers and acquisitions activities.
  • Coordinate and manage relationships with external legal advisors to ensure cost-effective and efficient legal service delivery.
  • Provide support to APAC and EMEA teams and to the clean-energy manufacturing industry.
  • Conduct corporate and securities legal research.
  • Conduct global and cross-border transaction legal analysis for debt financings, equity financings, mergers, acquisitions, divestitures, joint ventures, technology-transfer deals, and strategic alliances.
  • Provide legal policy and compliance support.
  • Support drafting, reviewing, and negotiating transactional and commercial agreements and provide legal support for mergers, acquisitions, joint ventures, and strategic corporate transactions.
  • Analyze transaction structures, deal documentation, closing mechanics, and post-closing considerations.
  • Perform clean-energy-sector corporate, securities, and transaction-related regulatory legal research and analysis.
  • Support domestic and cross-border transactions and clean-energy or renewable-energy-sector manufacturing operations transactions.
