BCLP adds London partner trio including global digital head. Hires from Crowell, Squire Patton Boggs and Baker Botts strengthen technology, employment and corporate practices 12 August 2026 Rafi Azim-Khan BCLP has hired three partners in London in recent days, adding Rafi Azim-Khan from Crowell & Moring, Caroline Noblet from Squire Patton Boggs and Sian Williams from Baker Botts to its technology, employment and corporate practices respectively. Azim-Khan, whose hire was announced on Monday (10 August), has been appointed global co-leader of the transatlantic firm's digital transformation and emerging technology offering. He will work from London and San Francisco, collaborating with BCLP's intellectual property practice and its sports, media and entertainment sector group. He joins from Crowell & Moring, where he led the digital law practice and handled AI, emerging technology, autonomous vehicles, data privacy and advertising technology matters. He was also co-chair of Crowell's global advertising and media practice. His practice covers artificial intelligence, data protection, autonomous technology, cybersecurity, digital regulation, e-commerce, advertising, intellectual property and brand protection. Xylem to acquire Cornell Pump and Roper Pump for $1.46 billion. Valued at 1.46 billion dollars, the acquisition adds engineered pumping technology to Xylem's Water Infrastructure segment, closing in Q4 2026. U.S. water technology group Xylem is set to acquire pump manufacturers Cornell Pump and Roper Pump in a $1.46 billion deal, buying the businesses from Indicor as it works to deepen its footprint in industrial and municipal pumping markets. The acquisition brings into Xylem's portfolio pumping technologies capable of handling tougher fluids, from slurries and solids to installations requiring strong suction lift performance. Cornell Pump and Roper Pump also carry patented self priming technology and expertise built up in sectors such as agriculture, food and beverage, energy, construction, mining and municipal water systems. Once completed, the businesses will sit within Xylem's Water Infrastructure segment. Matthew Pine, President and CEO of Xylem, linked the purchase to broader shifts in industrial demand. "The long-term demand drivers supporting our business continue to strengthen, creating new opportunities across industrial markets where water is increasingly critical to operational success," he said. "This acquisition expands our presence in key growth sectors and enhances our ability to help customers address evolving operational requirements. It also strengthens our portfolio in ways that support long-term value creation." On financial terms, Xylem said the $1.46 billion price equates to roughly 11.6 times projected 2026 EBITDA, once run rate cost synergies of $23 million and an estimated $170 million in tax benefits are factored in. The acquired businesses are projected to bring in more than $260 million in revenue this year, with EBITDA margins above 30 percent. Xylem expects the transaction to add to adjusted earnings per share from 2027 onward. Closing is targeted for the fourth quarter of 2026, pending regulatory clearance and other standard conditions. Centerview Partners and Gibson, Dunn & Crutcher are advising Xylem on the transaction, while Evercore, Goldman Sachs and Debevoise & Plimpton are advising Indicor. Xylem, listed on the NYSE as XYL, reported revenue of $9 billion in 2025 across its global operations.

Friday, August 7, 2026 On August 5, 2026, the Securities and Exchange Commission (SEC or the Commission) announced the establishment of a new specialized unit within the Division of Enforcement - the Financial Reporting and Accounting Unit (the Unit) - dedicated to pursuing fraud and misconduct in accounting, financial reporting, and auditing. The new Unit signals a renewed institutional commitment to accounting-related enforcement at the Commission. The Unit will be led by Timothy Zimmerman, who joined the SEC's Division of Enforcement in May 2026 as a senior advisor to Enforcement Director David Woodcock. Prior to joining the agency, Zimmerman served as Deputy General Counsel of accounting firm RSM US following twelve years in practice at Gibson Dunn & Crutcher LLP. The Unit will be staffed by both attorneys and accountants with specialized expertise in financial reporting, accounting, and auditing in the context of securities regulation, and will work collaboratively with staff across all SEC divisions. Director Woodcock framed the Unit as part of a broader realignment, stating that it will expand upon Enforcement Division's existing efforts to focus on bad actors within the accounting and auditing profession. The new Unit appears to supersede the SOX Group the Division announced during SEC Speaks last March before Director Woodcock assumed his current role. Notably, there has long been a view among practitioners that a dedicated accounting and financial reporting unit should have existed since the Commission created the specialized enforcement units in 2010. Thus, the creation of a standalone unit with dedicated attorney and accountant staffing is not a complete surprise, especially given Director Woodcock's former role as leader of the Financial Reporting & Audit Task Force that was formed in 2013 when he was Director of the SEC's Fort Worth Regional Office. Notwithstanding, its creation suggests the Commission views financial reporting fraud as warranting the same focused attention that has been applied to areas such as offering fraud, insider trading, and market abuse. Finally, it is consistent with Chairman Atkin's view that accounting and financial fraud fall squarely within his "back to basics" approach. Companies and their advisors should take note. The establishment of this Unit signals that accounting and financial reporting enforcement will be a priority area for the Division going forward. Public companies, private funds and their auditors will be well-served to ensure robust financial reporting reviews, evaluate internal controls over financial reporting, and respond thoroughly and promptly to complaints alleging potential accounting fraud. We expect the Unit to be active and to bring cases in areas including revenue recognition, reserves and estimates, valuation of illiquid assets, disclosure controls, compliance with auditing standards, and auditor independence, and we will continue to monitor developments in this space.
