National Fuel Gas upstream spin-off meets $2.62B Ohio utility deal, reshaping its investment case

National Fuel Gas plans to separate its integrated upstream and gathering business into a standalone company. The move could change how investors weigh its regulated pipeline and utility earnings against its more volatile, commodity-exposed production arm. The announcement follows a pending $2.62 billion acquisition of an Ohio gas utility, funded with new equity and more than $2.7 billion of higher-cost debt. The deal aims to nearly double the utility rate base and tilt the company toward regulated earnings. Managing integration risk and interest costs while restructuring the portfolio will be key. Analysts model revenue of about $3.2 billion and earnings of $773.4 million by 2029, up from $675.3 million today.
