Responsibilities
  • Manage the group that assists fund clients with preparing and maintaining registration statements and related filings.
  • Oversee initial drafts of legal registration documents and work with fund counsel to obtain final approval.
  • Serve as product manager for UMB-sponsored Registered Fund Solutions and Registered Fund Solutions II Trusts.
  • Develop and maintain relationships with clients, fund counsel, third-party chief compliance officers, auditors, board trustees, internal counsel, print vendors, and EDGAR filers.
  • Maintain client confidentiality.
  • Prepare and oversee regulatory filings required under federal securities laws, including registration statements on Forms N-1A and N-2.
  • Oversee the work of other Regulatory Administrators.
  • Coordinate with internal colleagues and external clients to incorporate changes into large and complex documents.
  • Work with outside counsel to plan and prepare for client board and shareholder meetings.
  • Serve as Secretary for clients or complexes requiring secretarial services.
  • Coordinate, draft, and distribute legal documents, communications, resolutions, board meeting minutes, correspondence, and proxy statements among multiple parties.
  • Manage projects and deadlines involving multiple filings due close together.
  • Monitor and report on regulatory initiatives promulgated by agencies including the SEC and FINRA.
  • Develop and implement departmental processes and policies.
  • Oversee legal administration services billing.
  • Provide technical, industry, and client-specific training and act as a resource.
  • Foster a collaborative and innovative team culture.
  • Manage associate time, salary, and performance records; initiate assignment changes and salary increases; conduct performance appraisals and management activities; and recommend staffing changes.
  • Develop and communicate performance objectives and individual development plans.
  • Collaborate with Human Resources on disciplinary actions.
  • Manage team members' workloads and act as an escalation point for team issues.
  • Assess training opportunities, develop training programs, and present training materials to the department as needed.
  • Work with the assigned relationship manager to ensure onboarding execution.
  • Partner with internal and external parties to ensure compliance with SEC, IRS, and GAAP reporting regulations.
  • Manage a team of legal administration staff, including oversight, hiring, selection, and performance management.
  • Travel overnight occasionally as required.
