Financial Due Diligence Consultant - Post Merger CFO
About the job
- At least 7 years of experience in transaction services, audit, or corporate finance, including at least 3 years of buy-side or sell-side due diligence experience.
- Expertise in Microsoft Excel and financial modeling, with experience using data rooms and analytics tools.
- Knowledge of United States generally accepted accounting principles; International Financial Reporting Standards knowledge is a plus.
- CPA or CA qualification is strongly preferred; CFA or Master of Business Administration qualification is a plus.
- Industrial, manufacturing, or private equity portfolio company experience is preferred.
- Build quality-of-earnings analyses by normalizing EBITDA and quantifying add-backs and one-time items.
- Examine historical earnings, cash conversion, and net working capital trends, and propose a working capital peg.
- Identify debt and debt-like items, off-balance-sheet obligations, and contingent liabilities.
- Verify reporting accuracy, including revenue recognition, cut-off, reserves, and accounting policies.
- Tie financial results to operating drivers such as yield, throughput, pricing, and inventory.
- Stress-test management projections through scenario and sensitivity analysis.
- Feed findings into the purchase agreement, valuation model, and lender package.
- After closing, establish the 13-week cash forecast, key performance indicator reporting, and finance integration.
- Pursue an operating partner pathway as an interim CFO or finance lead after a merger, driving cash management, margin improvement, and exit-ready reporting.
