About the job

Requirements
  • A J.D. from an accredited law school and an active license in good standing in at least one U.S. jurisdiction; Texas admission or the ability to register as in-house counsel is acceptable.
  • Eight to twelve years of transactional experience in energy, infrastructure, environmental or waste, or project development, at a major law firm, in-house at a sponsor or developer, or both.
  • First-chair experience drafting and negotiating joint venture agreements or comparable complex commercial arrangements without outside counsel support.
  • Fluency in commercial risk allocation, including indemnities, limitations of liability, insurance requirements, force majeure, and default and termination mechanics.
  • Comfort negotiating against large, sophisticated counterparties and their Big Law counsel.
  • Experience managing and reviewing the work of junior attorneys and/or paralegals, with the judgment to delegate effectively and the willingness to remain hands-on in documents.
  • Ability to operate independently in a lean, fast-moving company, serving as the legal function for this workstream.
Responsibilities
  • Own the legal workstream for partnerships end-to-end, from term sheet through definitive documentation and post-closing amendments, as senior in-house counsel for partnership transactions.
  • Draft and negotiate joint venture agreements, LLC operating agreements, site host and lease agreements, feedstock supply agreements, tipping fee arrangements, and operations and maintenance agreements with partners.
  • Structure deals across the multi-entity architecture and ensure joint venture terms are compatible with existing financing and offtake contracts.
  • Own the term sheet process by translating commercial deal points from the business development team into structures that withstand diligence, financing, and audit.
  • Negotiate liability, indemnity, insurance, and environmental risk allocation provisions, including waste acceptance specifications, title and risk transfer for waste streams, and long-tail environmental liability between generator, hauler, site host, and operator.
  • Build and maintain waste-stream-specific contract standards.
  • Manage and develop two direct reports: a Corporate Counsel and a Contract Specialist/paralegal.
  • Allocate deal work across the team, lead complex joint venture negotiations, and delegate routine agreements, diligence, and contract lifecycle work with appropriate supervision.
  • Set quality standards, review the team's work product, and develop the team's capabilities so more of the deal pipeline can be handled below this role over time.
  • Manage outside counsel on matters requiring specialist support, including tax, permitting, regulatory, and litigation matters, while controlling and scoping spend.
  • Build out the template library and negotiation playbook to increase deal velocity as the partnership pipeline scales.
  • Support diligence workstreams for financings and equity raises as they relate to partnership agreements.
  • Travel periodically to partner meetings and operating sites.
Desired Qualifications
  • Experience with waste management, environmental services, or adjacent industries.
  • Familiarity with environmental liability frameworks, including RCRA, CERCLA, and state waste regulation, and how they drive contract terms.
  • Exposure to project finance structures, including SPVs, lender consent rights, and collateral assignment of material contracts.
  • Experience at a venture-backed or growth-stage company.

About the company

Vaulted Deep provides waste management services and sells permanent carbon removal credits. It uses a proprietary slurry-injection method to bury biomass waste deep underground, turning wastes like biosolids and food waste into a slurry that is injected about a mile down into porous rock layers to achieve long-term storage. The process also prevents methane and other pollutants from being released by landfilling or incineration, and revenue comes from waste disposal fees plus verified carbon credits sold through a large buyer coalition led by Frontier. The company differentiates itself by using Advantek’s decades of oil-and-gas deep-well injection know-how and infrastructure to scale quickly, and its goal is to provide practical, scalable deep-geologic carbon removal that helps customers meet climate targets.

Vaulted Deep secures $35 million in debt financing to expand nationwide.

Vaulted Deep secures $35 million in debt financing to expand nationwide. Sep 21, 2026, 09:05 ET New financing from Mediobanca and facilitated by CFP Energy will support new waste disposal sites across the country and continued investment in technology to accelerate site development HOUSTON, Sept. 21, 2026 /PRNewswire/ - Vaulted Deep, a waste management company building subsurface infrastructure for organic waste, today announced a $35 million debt facility from Mediobanca to expand its national buildout. The financing, arranged by CFP Energy, a leading provider of market-based energy transition solutions, is the largest publicly disclosed U.S. commercial debt deal in durable carbon removal to be secured by long-term purchase contracts. It demonstrates how such contracts can help companies borrow from mainstream lenders to build physical infrastructure. The facility was supported by Vaulted's waste service agreements and contracted carbon removal revenue, including its set of offtakes with Frontier buyers. Frontier is an advance market commitment backed by companies including Stripe, Shopify, and Google. Vaulted delivered more than 20,000 tons of carbon removal to Frontier buyers in the first half of 2026, surpassing the total amount delivered in 2025. Since 2023, the company has also increased weekly waste volume sixfold, reflecting its ability to scale operations alongside demand. "Waste operators across the country need new options as traditional disposal options become limited. This financing lets us take on more projects and invest in the tools that help us evaluate and develop new sites faster," said Julia Reichelstein, CEO and Co-Founder of Vaulted Deep. "This is a meaningful milestone for Vaulted as we move into the next phase of building infrastructure at a much larger scale." The new capital will help Vaulted advance more projects through its AI-Accelerated Site Development Platform, which combines proprietary technology and operating experience across site discovery, permitting, and injection operations. Geology, regulatory, and waste-supply data narrow the search for candidate sites while standardized templates and regulatory guides speed up the path to permitting. Once a site is running, monitoring and control algorithms maximize safe disposal capacity. Together, these tools make new sites faster to open and easier to replicate. "Frontier's theory of change is that robust demand for carbon removal, in the form of large, multi-year offtake agreements, gives companies the ability to raise the capital required to build and expand their businesses," said Frontier spokesperson Hannah Bebbington Valori. "Vaulted raising institutional debt to expand their site development capabilities is a great example of this theory in practice." Tyler Manchester, Head of Voluntary Carbon, CFP Energy said: "By facilitating these types of transactions, we connect institutional capital with innovative climate technologies, helping accelerate the deployment of high-integrity carbon removal solutions. It reflects growing investor confidence in these solutions, driven by rising demand from corporate buyers seeking permanent pathways to support net-zero commitments and long-term climate strategies." The facility adds a new source of growth capital alongside the $48 million in equity Vaulted has raised to date and its $8 million XPRIZE Carbon Removal award. The capital positions Vaulted to advance multiple infrastructure projects as it builds beyond its existing operations. Artio, a leading carbon insurance firm, supported the transaction by helping to de-risk the investment, as part of its wider work to unlock capital for high-quality carbon projects. About Vaulted Deep Vaulted Deep builds and operates subsurface infrastructure for organic waste, creating a scalable alternative to land application, landfilling, and incineration. Venus Aerospace closes $91 million Series B to scale hypersonic engine.

Venus Aerospace closes $91 million Series B to scale hypersonic engine. Jul 8, 2026, 8:15 am Houston-based Venus Aerospace has closed a $91 million Series B round and plans to scale the production of its hypersonic engine. The round was led by Houston-based Mercury Fund with participation from Lockheed Martin Ventures, MESH, PEAK6, Draper Associates, Starboard Star Venture Capital, Green Sands Equity and other investors, according to a news release. The investment comes about a year after Venus completed the first U.S. flight test of its high-thrust rotating detonation rocket engine (RDRE). The engine is expected to enable vehicles to travel four to six times the speed of sound from a conventional runway and is about 15 percent more efficient than traditional alternatives, according to the company. Venus Aerospace says the latest round of funding will allow it to move the RDRE from demonstration to deployment and meet customer requirements for the near-term defense and space industries. The company says that the reusable RDRE is designed with a "common propulsion architecture" that can work for multiple industries and mission types. "This financing marks an important step in moving Venus from breakthrough demonstration to scaled capability," Sassie Duggleby, co-founder and CEO, said in the news release. "Our customers need propulsion systems that go farther, can be produced reliably and are built on supply chains they can trust. We are advancing that capability with American engineering and manufacturing talent to strengthen U.S. defense, expand space access and support the future of high-speed flight." Venus Aerospace raised a $20 million Series A in 2022, led by Wyoming-based Prime Movers Lab. At the time, the company said it would put the funding toward three main technologies: a next-generation rocket engine, aircraft shape and leading-edge cooling system. The company also picked up an investment from Lockheed Martin Ventures, the investment arm of aerospace and defense contractor Lockheed Martin, in November 2025 - in addition to funding from other investors over the years. "Since our initial investment, Venus has progressed very quickly in its technology development," Chris Moran, vice president and general manager of Lockheed Martin Ventures, added in the release. "Our reinvestment in Venus recognizes Venus' accomplishments to date and focus on speed to manufacture, cost management and reduction of supply chain constraints. Venus is working effectively to position its propulsion system for the production scale required by defense programs." "Venus is exactly the kind of company Houston capital should be backing," Blair Garrou, co-founder and managing partner at Mercury Fund, added in the release. "It combines multiple frontier technologies, domestic manufacturing and clear commercial and national security relevance. We believe this team is positioned to lead an important new chapter in defense and space, and we are proud to support a company building breakthrough technology here in Texas." Venus Aerospace and Houston clean tech startup Vaulted Deep were named to the World Economic Forum's Technology Pioneers community earlier this summer. Read more here.
