ADT stock jumps 30% as Thrive Holdings agrees $10 a share takeover

ADT shares rose 30.2% in the three months to October 29, 2026, against a 3.3% gain for the S&P 500. All of the gain came on the final day, when the stock jumped 33% after Thrive Holdings agreed to buy the home-security company for $10 a share in cash. Revenue grew just 2.0% in the June quarter, but cash flow ran well ahead. Operating cash flow rose 37% in the first quarter and 18% in the second. ADT returned $684 million to shareholders in the first half and raised its full-year outlook. Free cash flow reached $1.61 billion in the four quarters to June 2026, up from $1.38 billion a year earlier. Shares closed at $9.87 on October 29, so a buyer now would gain about 1% if the deal closes.

ADT could go private as Thrive Capital explores deal.

ADT could go private as Thrive Capital explores deal. Reports of acquisition talks drew an assessment from RBC Capital Markets of ADT's potential as a takeover target. Oct. 28, 2026 ADT (NYSE: ADT) could be headed back into private hands, with Thrive Capital in talks to acquire the company, according to Octus. The credit market news provider reported that a potentially record-breaking private loan is under consideration for the deal involving Joshua Kushner's Thrive Capital. Bank financing is also being explored, and no deal has been finalized, Octus reported in a post on X. The reported talks follow Apollo Global Management's move in May to sell its remaining stake in ADT, ending a nearly decade-long investment. Apollo acquired ADT in 2016 and took it public again in 2018, then gradually reduced its ownership through a series of share sales. RBC Capital Markets views ADT as a potential takeover candidate following progress in its business transformation, according to TheFly's account of the firm's analysis. RBC pointed to ADT's migration to Google Cloud, integration of artificial intelligence and move away from costly ways of attracting new customers, TheFly reported. However, the firm noted that the change in customer acquisition strategy has weighed on revenue growth. Competition from do-it-yourself security providers and concerns about AI's potential to disrupt ADT's business continue to weigh on its stock, according to RBC's assessment as reported by TheFly. RBC analyst Ashish Sabadra has a Sector Perform rating and a $9 price target on ADT, Seeking Alpha reported. The outlet put ADT's market value at approximately $5 billion. ADT is scheduled to report its third-quarter results Tuesday. ADT's recent deals. In September 2025, Everon announced an agreement to acquire ADT's business-to-business multifamily business for $55 million in cash. The deal covered approximately 200,000 customer units serving apartment buildings, townhomes, student housing and military housing. Earlier this year, ADT acquired Origin Wireless, adding technology that detects motion and human presence without cameras, audio or wearable devices. ADT said it expects to begin introducing offerings incorporating the technology in 2027. SecurityInfoWatch will continue to follow developments surrounding the potential acquisition. ADT secures AI innovation with Oracle. ADT estimates it can save more than $3 million over four years and improve application performance by 25 percent by migrating business-critical applications to Oracle AI Database@Google Cloud Oracle Cloud HCM automatically answers 90 percent of ADT's basic HR inquiries Oracle AI World, LAS VEGAS - Oct 27, 2026 ADT Inc. (NYSE: ADT), the trusted leader in smart home security solutions, is expanding its use of AI with Oracle AI Database@Google Cloud and Oracle Fusion Cloud Applications. To reduce infrastructure costs, improve application performance, strengthen data security, and bring business data closer to its analytics and AI tools, ADT moved critical applications to Oracle AI Database@Google Cloud. In addition, ADT is leveraging the extensive AI capabilities in Oracle Fusion Cloud Human Capital Management (HCM) to answer employees' routine HR questions and help managers complete performance reviews faster. "To develop more intelligent, proactive protection, we need to make it easier for our teams to put critical data to work," said Dave Scott, executive vice president and chief people and administration officer, ADT. "By using Oracle AI Database@Google Cloud, we are bringing that data closer to the tools our teams use to develop and test new ideas. With Oracle Fusion Applications, we are also using AI to help improve HR outcomes. For example, our new hires get the guidance they need while our managers gain more time to support their teams." Bringing critical data closer to AI and analytics. ADT estimates that moving its billing, tax, and order management applications to Oracle AI Database@Google Cloud can save more than $3 million over four years and improve application performance by 25 percent. The move also brings data from those applications closer to ADT's Google BigQuery data warehouse, making it more accessible for planned AI projects using Gemini Enterprise. Keeping the data next to the Google Cloud services that use it can also simplify data management, accelerate analyses, and reduce the need to move or duplicate sensitive information. ADT also uses Oracle Database Zero Data Loss Autonomous Recovery Service to help secure and protect critical data, and Oracle Maximum Availability Architecture to enhance availability and disaster recovery of its databases deployed across the three Google Cloud regions it currently uses. Improving the employee experience with AI. With more than 5,000 new hires each year, ADT wanted to give employees a more consistent experience, allow managers to spend more time with their teams, and reduce integration work across its systems. To meet these goals, ADT selected Oracle Cloud HCM, part of Oracle Fusion Applications, to bring HR processes and data together on one platform and take advantage of the latest AI capabilities. With the AI capabilities in Oracle Cloud HCM, ADT has been able to automate responses to 90 percent of basic HR inquiries. In addition, Oracle Cloud HCM has enabled ADT to reduce HR support tickets by 26 percent, giving HR specialists more time for workforce planning and supporting complex employee needs. For managers, the AI-assisted tools in Oracle Cloud HCM save two to three hours per direct report during performance review cycles. ADT has also built a predictive turnover model in Oracle Cloud HCM that helps leaders identify potential attrition risks by job group and location. "ADT is taking a practical approach to AI that is delivering results today while creating new opportunities for innovation," said Nathan Thomas, senior vice president, product management, Oracle. "By bringing critical data closer to its AI and analytics tools, ADT is creating new opportunities to move faster and innovate, while its use of AI in HR is already giving employees more time to focus on higher-value work. Together, these efforts will help ADT continue to deliver smarter, more proactive protection for its customers."
