The Contracts Manager works with many teams across the organization. This key team member negotiates many types of contracts both with HireVue’s customers and its vendors to ensure they are documented and negotiated properly to represent HireVue’s interests.
Overall responsibility to manage, draft and negotiate all forms of the contracting process with specific and varied purposes with public sector agencies at the State and Federal level, as well as some of the world’s largest and most respected brands. These includes NDAs, software as a service master agreement, MSAs, professional services agreements, service level agreements, privacy agreements including DPAs, partner agreements and general amendments.
Establish and maintain great working relationships with internal business partners as you coordinate with cross-functional teams during contract review to negotiate terms and obtain approvals for modification, as required.
Act as a key contact for the legal department by providing guidance on commonly requested edits, assess risk, non-standard terms, policies, questions, etc. including provide advice on public sector contracting, including review of relevant flow-down terms, including, but not limited to FAR/DFAR Clauses, as well as government schedules.
Customize and maintain templates to meet client template requirements.
Ensure information relating to contractual documents are processed into and maintained in relevant databases
Provide open and honest communications with all partners – legal colleagues, management, customers and others while managing risk and providing valuable services toward HireVue’s overall success.
At least ten (10)+ years’ of experience providing contract advice and negotiating agreements either in a software/SaaS/start-up environment with an international company. Substantial experience in contracts with State and Federal government agency customers either directly or as a subcontractor to a prime contractor a strong plus.
JD degree not required.
Demonstrated success working with sales teams in customer negotiations and contracting. Prior use of a contract lifecycle management software is a plus
In-depth understanding of contract law and software contract requirements and strong skills in negotiating SaaS agreements.
In-depth understanding of public sector contracting processes, including a full understanding of FAR/DFAR clauses.
Strong knowledge of and experience working with global data privacy laws. An external certification in this area will be deemed a plus.
Excellent organizational skills and are a strong written and verbal communicator, with great attention to detail, common sense and a sense of humor.
Strong organizational and document management skills, with the ability to think and move quickly while juggling many different projects simultaneously across several functional departments.
Willingness to work flexible hours as needed to support global customers.
Excellent judgment and ability to work independently but escalate issues and seek sign off/guidance appropriately.

Experience with building and implementing contract management tools.
