Requirements
  • At least 5 years for senior counsel or 10 years for AGC of combined transactional legal experience at a law firm and in-house, that includes working with internet, technology and/or media companies in the ad tech/data space (e.g., ad serving, programmatic, data management, measurement and analytics).
  • Familiarity with ad transactions and working with content providers in the context of advertising in Latin American markets.
  • Familiarity with both B2B and B2C aspects of the digital advertising ecosystem.
  • Familiarity with insertion orders and IAB terms and conditions for digital advertising.
  • Experience working with brands, advertising agencies, publishers and other content providers.
  • Excellent working knowledge of data privacy, marketing and consumer protection laws.
  • Significant experience drafting and negotiating SaaS agreements, digital marketing agreements, agreements with creative services agencies, production companies, talent and rights holders, and similar complex services agreements, including related privacy and data security provisions.
  • Skills and experience necessary to advise on a broad range of the legal issues related to digital advertising businesses, including intellectual property, data protection, consumer protection and privacy issues in the context of advertising related technology (e.g., use of beacons, cookies and cookie alternatives across devices, programmatic technologies and matching of datasets to target ads to various audience segments).
  • Experience working in a cross-department, cross-functional role requiring good client relationship skills, including the ability to independently solicit the advice and input of different stakeholders as necessary and appropriate.
  • Excellent negotiating skills, keen analytical abilities, a pragmatic approach to problem solving, as well as a track record of success in handling complex business and legal issues in a fast-paced, agile and evolving technology-driven business environment.
  • Proven ability to quickly understand complex products and services, while identifying key issues and risks and offering creative solutions for business enablement.
  • Bachelor’s degree and a Juris Doctorate degree from a U.S. accredited law school.
  • Licensed to practice law in the state of New York, Texas, Florida or California.
  • Spanish fluency a plus.
Responsibilities
  • Draft, review and negotiate agreements with publishers and other content providers, advertisers, ad agencies, ad servers, and resellers.
  • Structure and negotiate a wide range of commercial agreements in support of Roku’s advertising platform, including master services agreements and vendor agreements.
  • Advise on data privacy issues in the context of commercial transactions, with working knowledge of privacy law landscape.
  • Review ad creatives, advertising claims and sponsorships.
  • Collaborate cross-functionally with a wide variety of Roku business units, including the ad sales, ad partnerships, ad ops, content & services, finance, tax, product, engineering, and marketing teams.
  • Support the continuous improvement of standard form contracts and legal processes for international markets.
  • Draft, provide and implement guidelines for international markets (including advertising and data guidelines).
  • Help develop scalable processes to allow the advertising team the flexibility necessary to move quickly.
  • Keep up to date on the latest developments in laws, regulation and industry trends applicable to martech, ad tech, digital media and technology, Big Data, OTT and IOT, including data privacy laws, consumer protection laws, and other guidance from relevant agencies.
