Medtronic is offering shareholders an exchange of up to 80.1% of its diabetes business MiniMed for Medtronic shares, worth about $4 billion. A Barron's report on 2 October suggested the offer is losing appeal. If the swap stalls, Medtronic's share count reduction plans would be affected. The exchange is worth more than three times the $1.2 billion spent on buybacks over the past twelve months. The company has no other large share count reductions planned. Medtronic's adjusted gross margin could also be impacted, as management stated the diabetes business contributed to margin pressure in fiscal Q1 2027. The diabetes unit reported 15% growth that quarter, though this included an extra selling week. Medtronic has scheduled an Investor Day for 10-11 December. A firm closing date announced then would indicate the separation remains on schedule to close before fiscal year-end.
