Requirements
  • At least 6 years of experience in contract management, paralegal, or contracts-counsel work, ideally within B2B SaaS, marketing or agency, or professional services.
  • Demonstrated experience independently drafting and negotiating master services agreements, statements of work, vendor contracts, and change orders.
  • Strong working fluency in United States and Canadian contract law fundamentals, including indemnification, liability caps, intellectual property and usage rights, and data privacy basics.
  • Ability to identify when a matter requires outside counsel and brief counsel efficiently; a law license is not required.
  • Familiarity with data privacy frameworks relevant to the client base, including GDPR, PIPEDA, and CCPA.
  • Proven experience building a contract management function, workflow, or customer lifecycle management tooling from scratch.
  • Practical fluency with DocuSign, PandaDoc, ClickUp, and at least one artificial-intelligence-assisted knowledge or contract lifecycle management tool.
  • Ability to work independently in a remote, high-volume role and prioritize multiple concurrent contract types without close supervision.
Responsibilities
  • Own contract drafting and negotiation across new client contracts, client-provided templates, change orders, vendor contracts, mutual nondisclosure agreements, employment contracts, and independent contractor or freelancer agreements.
  • Draft and negotiate new client master services agreements and statements of work from company templates, and manage client review and redline processes.
  • Own content mapping and negotiation for contracts using a client's master services agreement or statement of work template.
  • Draft and manage change orders and extension orders that reference standing master services agreement and terms-and-conditions provisions.
  • Draft and negotiate vendor contracts, cross-referencing vendor terms against the supporting client contract for scope, intellectual property, and confidentiality consistency.
  • Draft and manage employment, independent contractor, and freelancer agreements.
  • Make escalation decisions about what proceeds internally versus what goes to outside counsel, and act as the sole point of contact with outside counsel.
  • Review contracts for insurance and liability terms, including indemnification, coverage limits, and additional insured requirements; coordinate with People Operations to confirm coverage and complete required information-security questionnaires.
  • Audit active statements of work and change orders against governing master services agreement terms to identify scope creep.
  • Harmonize the contract template library across client, vendor, change-order, employment, independent, and freelance contract formats.
  • Document and apply contract accept-or-reject policies, including acceptable terms, deposit requirements, and escalation thresholds.
  • Own contract intake and storage through ClickUp triage, Google Drive organization, and applicable ClickUp logging of executed contracts.
  • Contribute to building an artificial-intelligence-assisted contract knowledge tool that makes contract terms accessible to account and delivery teams.
  • Configure and maintain DocuSign and PandaDoc for electronic signatures, tracking, and lifecycle metadata.
