Xylem to acquire Cornell Pump and Roper Pump for $1.46 billion.

Xylem to acquire Cornell Pump and Roper Pump for $1.46 billion. Valued at 1.46 billion dollars, the acquisition adds engineered pumping technology to Xylem's Water Infrastructure segment, closing in Q4 2026. U.S. water technology group Xylem is set to acquire pump manufacturers Cornell Pump and Roper Pump in a $1.46 billion deal, buying the businesses from Indicor as it works to deepen its footprint in industrial and municipal pumping markets. The acquisition brings into Xylem's portfolio pumping technologies capable of handling tougher fluids, from slurries and solids to installations requiring strong suction lift performance. Cornell Pump and Roper Pump also carry patented self priming technology and expertise built up in sectors such as agriculture, food and beverage, energy, construction, mining and municipal water systems. Once completed, the businesses will sit within Xylem's Water Infrastructure segment. Matthew Pine, President and CEO of Xylem, linked the purchase to broader shifts in industrial demand. "The long-term demand drivers supporting our business continue to strengthen, creating new opportunities across industrial markets where water is increasingly critical to operational success," he said. "This acquisition expands our presence in key growth sectors and enhances our ability to help customers address evolving operational requirements. It also strengthens our portfolio in ways that support long-term value creation." On financial terms, Xylem said the $1.46 billion price equates to roughly 11.6 times projected 2026 EBITDA, once run rate cost synergies of $23 million and an estimated $170 million in tax benefits are factored in. The acquired businesses are projected to bring in more than $260 million in revenue this year, with EBITDA margins above 30 percent. Xylem expects the transaction to add to adjusted earnings per share from 2027 onward. Closing is targeted for the fourth quarter of 2026, pending regulatory clearance and other standard conditions. Centerview Partners and Gibson, Dunn & Crutcher are advising Xylem on the transaction, while Evercore, Goldman Sachs and Debevoise & Plimpton are advising Indicor. Xylem, listed on the NYSE as XYL, reported revenue of $9 billion in 2025 across its global operations.

Xylem to buy Cornell Pump, Roper Pump for $1.46B.

Xylem to buy Cornell Pump, Roper Pump for $1.46B. The deal will add more than $260 million in projected 2026 revenue and expand Xylem's portfolio of engineered pumping technologies for industrial and municipal applications. Water technology manufacturer Xylem Inc. has agreed to acquire Cornell Pump and Roper Pump from industrial technology company Indicor for $1.46 billion, expanding its position in industrial and municipal pumping applications. The businesses manufacture highly engineered pumping technologies used to move difficult-to-handle fluids, including systems for slurry transport, solids handling and demanding suction-lift applications. Their products also include patented self-priming technologies serving construction and mining, food and beverage, agriculture, energy and municipal markets. Xylem said the acquisition will expand its capabilities in applications where industrial modernization and increasingly complex operating requirements are driving demand for reliability, process efficiency and specialized fluid-handling technologies. Cornell Pump and Roper Pump will become part of Xylem's Water Infrastructure segment. "The long-term demand drivers supporting our business continue to strengthen, creating new opportunities across industrial markets where water is increasingly critical to operational success," Xylem President and CEO Matthew Pine said. "This acquisition expands our presence in key growth sectors and enhances our ability to help customers address evolving operational requirements." Cornell Pump and Roper Pump are expected to generate more than $260 million in combined revenue in 2026 with EBITDA margins above 30%. Xylem expects $23 million in run-rate cost synergies from the transaction and approximately $170 million in tax benefits. The $1.46 billion purchase price represents approximately 11.6x projected 2026 EBITDA after those anticipated synergies and tax benefits. The transaction is expected to close during the fourth quarter of 2026, subject to regulatory approvals and customary closing conditions. Xylem, Washington, D.C., generated $9 billion in 2025 revenue and employs approximately 22,000 people. Recommended Reading

Xylem's strategic acquisition: what unusual options activity reveals.

Xylem's strategic acquisition: what unusual options activity reveals. Xylem's acquisition of Cornell and Roper Pump signals strategic growth in key sectors, as unusual options activity hints at investor anticipation. The corporate landscape is often a chessboard where strategic moves can alter the trajectory of not just companies, but entire industries. In a recent twist, $XYL, better known as Xylem Inc., has set its sights on expansion through the acquisition of Cornell Pump and Roper Pump. This maneuver isn't merely a footnote in the corporate playbook; it embodies a strategic vision aiming to solidify Xylem's presence in high-growth sectors. But what's even more intriguing is the unusual options activity that preceded this announcement, hinting at potential market sentiment and investor anticipation. Xylem's acquisition of Cornell and Roper Pump represents a significant leap forward for the company in terms of market positioning. By integrating these two pump manufacturers, Xylem not only enhances its product portfolio but also strengthens its foothold in key growth areas such as water and wastewater management. This acquisition could lead to innovations and efficiencies that elevate Xylem's competitive standing in these sectors, which are poised for expansion due to increasing global water challenges. Interestingly, just a day before the acquisition news broke, unusual options activity surrounding $XYL caught the eyes of market watchers. Reports from The Markets Daily noted a spike in options trading, suggesting that savvy investors were preparing for a significant move. This kind of behavior often indicates that market participants might have had an inkling of the impending acquisition, or at the very least, were positioning themselves to capitalize on what they anticipated to be a game-changing development. As the dust settles from the acquisition announcement, analysts and shareholders alike are keenly observing how this strategic move will manifest in Xylem's stock performance. Given the company's aspirations to lead in high-growth sectors, the acquisition could potentially enhance shareholder value over the long term. However, reactions in the market may vary; investors might express cautious optimism, weighing the benefits of increased capabilities against the costs and integration challenges that acquisitions often entail. For $XYL shareholders, the implications of this acquisition could be profound. A successful integration of Cornell and Roper Pump may lead to improved operational efficiencies and expanded market reach. On the flip side, any missteps in execution could raise concerns about management's ability to effectively manage growth through acquisition, prompting volatility in stock performance. As always, the market will weigh these factors as they unfold. In summary, Xylem's acquisition of Cornell Pump and Roper Pump not only marks a pivotal moment for the company but also highlights the importance of understanding market signals, such as unusual options activity, that often precede major announcements. For investors, staying informed about these developments could be crucial in navigating the ever-evolving landscape of the stock market.
