  • Excellent verbal and written communication skills in both English and French, including daily English communication with clients and business partners outside Quebec.
  • Ability to draft, negotiate, and provide guidance in a multi-jurisdictional and bilingual environment involving Canada and the United States.
  • Excellent organizational and analytical skills with a strong commercial and problem-solving mindset.
  • Ability to handle multiple competing priorities within tight deadlines while remaining results-oriented.
  • Ability to perform at a high level without significant direct supervision.
  • Ability to communicate effectively with internal and external stakeholders, including employees at all levels, senior leadership, internal and external counsel, customers, consultants, and vendors.
  • Ability to travel occasionally as required.
  • Working knowledge of Microsoft Office and Google Suite, with the ability to learn additional software and contract or database management platforms.
  • Juris Doctor or Bachelor of Laws degree from an accredited law school.
  • Admission to and good standing with a state bar in at least one U.S. state, or with a law society of a Canadian province or territory.
  • Six to ten years of relevant legal experience with a proven track record in complex commercial contracts in an in-house or top-tier law firm setting.
Responsibilities
  • Draft, review, interpret, and negotiate contracts and other legal documents for Canada and the United States while ensuring legal compliance and mitigating risk.
  • Master and revise standard form contracts and acceptable alternative language while maintaining legal integrity and commercial viability.
  • Lead and advance negotiations concerning contractual terms and conditions directly with customers, suppliers, and third parties.
  • Interpret contractual provisions to analyze legal and business exposure and ensure consistent adherence to company contract terms.
  • Apply knowledge of the company’s business and industry to ensure non-standard contracts contain provisions protecting company assets and mitigating business and legal risks.
  • Advise business associates on compliance with applicable laws, regulatory developments, and company policies and procedures.
  • Provide guidance on contract interpretation and breach-of-contract matters, and counsel leadership and sales teams on potential customer claims and disputes to pursue commercial settlement and avoid litigation where advisable.
  • Review and update contract templates to ensure their relevance and timeliness.
  • Provide training to company personnel on contract practices and negotiation strategies.
  • Maintain awareness of regulatory changes and proactively evaluate their impact on contracts and the company.
  • Cooperate with the legal team and multidisciplinary teams to improve work processes and legal efficiencies and share best practices.

Air Liquide launches $565M green bond to refinance hydrogen and sustainability projects

Air Liquide has launched its first green bond issue, raising €500 million to finance and refinance sustainable projects including hydrogen development. The 10-year bond was issued at a yield of 0.461% under the group's Euro Medium Term Note programme. Proceeds will refinance Air Liquide's September 2021 bond maturities and support the company's long-term growth. The issuance follows ambitious sustainable projects announced in March, particularly focused on reducing CO2 emissions.
