Curaleaf says Alberta ruling doesn't change debate as it defends 86% premium Aurora bid

Curaleaf Holdings has pushed back after the Alberta Securities Commission (ASC) ruled on Aurora Cannabis' at-the-market (ATM) share program, saying the decision does not change the debate over its takeover bid. Chief executive officer Boris Jordan said Aurora shareholders still face unanswered questions, including why Aurora issued shares under the ATM below the original offer price after Curaleaf signalled a bid. Curaleaf says its enhanced offer of about $5.00 a share is an 86% premium to Aurora's unaffected average price of about $2.75. It says Aurora sold shares as low as $2.56 under the ATM, and that it remains excluded from customary diligence. Curaleaf says a combined company would operate in 17 countries, with more than $1.5 billion in last-twelve-month revenue and at least $40 million in expected annual cost synergies.

Curaleaf urges Aurora shareholders to accept 45% premium takeover offer

Curaleaf Holdings has issued a letter urging Aurora Cannabis shareholders to accept its takeover offer, which represents a 45% premium over Aurora's 30-day volume weighted average price. The acquisition would create a combined company operating across 17 countries with US$1.5 billion in last twelve-month revenue and nearly US$350 million of adjusted EBITDA. Curaleaf Chairman and CEO Boris Jordan framed the decision starkly, describing Aurora as "a shrinking business that is burning cash and getting less profitable by the day." The company expects at least US$40 million in annual cost synergies from the combination. Aurora has refused to engage with Curaleaf's proposal. Jordan announced a live shareholder Q&A session scheduled for 17 September to discuss the offer directly with Aurora investors.

Curaleaf launches $4 hostile bid for Aurora Cannabis to access EU medical market

Curaleaf has formally launched its hostile takeover bid for Aurora Cannabis, offering $4 per share directly to shareholders. The offer represents a 45% premium on Aurora's 30-day average share price from 10 August, before Curaleaf announced its intentions. The proposed deal would create a combined company with a $3 billion market cap. Curaleaf projects approximately $40 million in annual cost synergies from the merger. The acquisition aims to give Curaleaf access to EU medical cannabis export markets, particularly Germany. Aurora possesses EU-GMP cultivation capacity that meets strict German import standards. Federal restrictions make direct cannabis exports challenging for US firms like Curaleaf. Curaleaf CEO Boris Jordan said initial friendly discussions with Aurora CEO Miguel Martin earlier this summer stalled, prompting the direct shareholder approach. Aurora's board has formed a special committee to review the offer.
