Brookdale to buy 30 welltower-leased senior housing communities for $290 million.

Brookdale to buy 30 welltower-leased senior housing communities for $290 million. Brookdale Senior Living agreed to acquire the real estate under 30 communities it leases from Welltower for $290 million, cutting about $17.8 million from its 2027 rent and extending a separate 39-community lease to 2036. Brookdale Senior Living has agreed to buy the real estate under 30 senior housing communities it already operates for Welltower, paying $290 million to retire a lease that was not due to mature until 2032 and cutting roughly $17.8 million from its 2027 rent bill. The Brentwood, Tenn.-based operator disclosed the agreement in a press release dated Oct. 13, 2026, alongside the closing of a separate, smaller purchase it announced over the summer. Together the two transactions move Brookdale closer to owning, rather than renting, the buildings it runs. The 30 communities contain 1,152 assisted living and memory care units spread across 13 states. Brookdale said it expects the purchase to close during the fourth quarter of 2026, subject to customary closing conditions, and to be funded with cash on hand and non-recourse mortgage debt. What the Welltower deal changes. The rent relief is the clearest effect. Brookdale put the 2027 reduction in annual cash rent at about $17.8 million, split between roughly $11 million of operating rent and about $7 million of financing rent. Once the deal closes, the company said, owned units will account for nearly 80% of its consolidated portfolio. "The completed acquisition of 17 communities and the agreement to acquire 30 communities from Welltower together represent another significant step forward in our strategy to own more of the real estate we currently operate," chief executive Nick Stengle said in the release. "Ownership allows Brookdale to capture the full benefit of future operating growth, while reducing our long-term lease obligations." Stengle said both transactions are expected to be accretive to adjusted EBITDA and cash flow. Brookdale also expects the Welltower purchase to add to adjusted free cash flow. Those are the company's own projections, not independently verified figures. The second piece of the arrangement is a lease amendment that takes effect only if the 30-community purchase closes. Brookdale and Welltower agreed to extend the term on a separate portfolio of 39 communities - 1,842 units, which Brookdale described as cash flow positive - by four years, pushing maturity from June 2032 to June 2036. Annual cash rent on that lease is about $36.6 million in 2027, and Brookdale said all other terms are unchanged. Buried in that extension is the provision with the longest tail: the lease's fair market value purchase option, previously exercisable only at maturity, becomes exercisable at any point during the term at Brookdale's election, subject to a floor of a 6.5% yield on in-place rent. Stengle called the amendment a source of "valuable flexibility," giving Brookdale the right to exercise the option "at any time during the term of the lease, subject to a pre-negotiated floor." If the purchase closes as planned, the 39-community portfolio becomes Brookdale's only remaining lease with Welltower - a narrow remainder of a landlord-tenant relationship that once spanned dozens of buildings. Welltower, which reported senior housing net operating income growth of 20.5% in the second quarter, was not quoted in Brookdale's release. The 17-community purchase, now closed. Brookdale also confirmed that it completed the acquisition it announced Aug. 5, 2026: 17 communities, 735 assisted living and memory care units in Colorado, Kansas, Ohio and Texas, for about $157 million. That deal closed Sept. 30, 2026. It was financed with cash on hand and $108 million of non-recourse mortgage debt carrying a variable rate of SOFR plus 215 basis points, an initial five-year term and two years of extension options. The purchase eliminates about $11 million of annual cash rent in 2027 and lifted owned units to roughly 77% of the consolidated portfolio. Why operators are buying their buildings. The logic behind both deals is the same one that has driven senior housing operators toward ownership over the past two years. On its reading of the terms, the calculation is straightforward: a company that leases a building passes part of any operating improvement to its landlord through rent, and the lease obligation sits on its balance sheet regardless of how the building performs. A company that owns it keeps the operating leverage - and takes on the real estate risk and the mortgage. Brookdale has been working through that math portfolio by portfolio. For Welltower, the other side of the trade is $290 million in cash - roughly $252,000 per unit - in exchange for giving up a rent stream it had contracted to collect for another six years. The transactions land in an unusually active stretch for senior housing ownership. Capital has moved into the sector on the strength of demographics - the oldest baby boomers turn 80 this year - and deal sizes have grown accordingly, including the agreement by BDT & MSD to acquire Sunrise Senior Living, an operator of about 230 communities, announced in early October. More sector coverage is collected on RealtyWire's commercial real estate page. As of Sept. 30, 2026, Brookdale operated 529 communities in 41 states and served approximately 45,000 residents, according to the release. Whether the Welltower purchase closes on schedule, and on the terms described, will be settled in the final weeks of the year.

Brookdale Senior Living to acquire 30 leased communities from Welltower in $290M deal.

Brookdale Senior Living to acquire 30 leased communities from Welltower in $290M deal. Brookdale Senior Living (NYSE: BKD) is taking ownership of more than two dozen communities in a sizable new deal with Welltower (NYSE: WELL). On Tuesday, the Brentwood, Tennesee-based senior living operator announced it had agreed to acquire 30 communities it leases and operates from real estate investment trust (REIT) Welltower for $290 million. The 30 communities total 1,152 units spread across 13 states. With the move, Brookdale leaders expect to reduce cash rent payments for 2027 by about $17.8 million. The communities are covered under a lease between the operator and the REIT that is otherwise due to expire in 2032. Brookdale expects to close the deal during the fourth quarter of this year. The operator manages 529 communities across 41 states. Brookdale also inked separate lease for a 39-community segment totaling 1,842 units, extending it by four years to June 2036 with annual cash rent payments of aboout $36.6 million in 2027. Brookdale is under the agreement free to purchase the communities at fair-market value at any time as opposed to a date tied to the lease's maturity. The operator's leaders announced the agreement along with news that the company had closed on its previously publicized bid to acquire 17 communities for $157 million. Together, the two acquisitions "represent another significant step forward in our strategy to own more of the real estate we currently operate," said CEO Nick Stengle. "Ownership allows Brookdale to capture the full benefit of future operating growth, while reducing our long-term lease obligations. These transactions are expected to be accretive to Adjusted EBITDA and cash flow," Stengle said in a press release. "The Welltower lease amendment also will provide valuable flexibility by giving Brookdale the right to exercise a fair market value purchase option at any time during the term of the lease, subject to a pre-negotiated floor." As Stengle noted, Brookdale is engaged in a strategy that is tilted toward owning communities. The operator owns more than three-fourths of the company's community count, according to its latest financial disclosure, and Stengle said he and the company's other leaders are on the lookout for more potential growth targets to bolster its regional density in the near future. "We will go seek potential communities that may or may not be on the market, and we will attempt to purchase them if it makes sense at the right price and the right return," Stengle told Senior Housing News in June during an SHN+ TALKS appearance. BKD stock slides as occupancy recovery shows signs of slowing.

BKD stock slides as occupancy recovery shows signs of slowing. JACK KELLOGG - UPDATED OCT. 11, 2026, 11:06 AM ET Brookdale Senior Living Inc. stocks have been trading down by -7.07 percent after negative coverage on occupancy and financial stability. What traders need to know. * Shares of Brookdale Senior Living Inc. (BKD) are down 9.5% to $9.86 in the current session, marking a sharp single-day breakdown on heavy selling pressure. * The company reported that September occupancy improved, but the pace of gains slowed and Q3 occupancy landed slightly below estimates, triggering about a 6% drop. * RBC Capital Markets highlighted that weighted average occupancy rose at a slower pace and missed expectations, adding another 5.2% slide as traders reassessed the recovery story. Weekly Update Oct 05 - Oct 09, 2026: On Sunday, October 11, 2026 Brookdale Senior Living Inc. stock [NYSE: BKD] is trending down by -7.07%! Discover the key drivers behind this movement as well as its expert analysis in the detailed breakdown below. Healthcare industry expert: Analyst sentiment - neutral Brookdale Senior Living (BKD) sits as a scaled but financially fragile operator in senior housing, with $3.2B+ in annual revenue and modest 1.8x interest coverage. EBITDA margin near 14% and positive Q2 operating income contrast with structurally weak profitability (LTM EBIT margin 3.3%, negative net margin, ROA -2-3%). Equity is negative, leverage is extreme (LT debt and leases ≈ $5.3B vs negative book value), but free cash flow of ~$43M in Q2 and improving EBIT indicate operational repair is gaining traction. Technically, BKD is in a short-term corrective phase following a failed attempt to hold the $11 area. This week's action shows a roll from $10.90-11.38 down to a $10.09-10.12 close, confirming sellers in control and likely elevated volume on down days. The dominant trend on the weekly tape is still up from prior single-digits, but near term is bearish. A specific level to trade: $10.00 is critical support; a break with volume opens $9.25-9.50, while a reclaim of $10.90 offers a low-risk long trigger. Recent news flow is clearly negative: the stock is down ~9-10% intraday after Q3 occupancy came in slightly below expectations and RBC highlighted slowing improvement. Within Healthcare Providers & Services, BKD remains higher risk than diversified peers due to leverage and occupancy sensitivity, but its operating trajectory is better than structurally challenged post-acute names. Base case: Neutral-to-cautious outlook with $9 support, $12 resistance over the next 6-12 months; risk-balanced investors should only accumulate closer to $9 with strict risk controls. Quick financial overview. Brookdale Senior Living Inc. sits at the center of a classic expectations reset. On the weekly tape, BKD pushed as high as the mid-$11s before sliding to close near $10.12, showing a clear reversal from recent strength. The intraday move from around $10.45 down to a $9.74 low, then a weak bounce to $10.12, confirms aggressive selling with only modest dip buying. On the news side, the problem is not that occupancy is falling. It is that occupancy gains in September slowed and Q3 levels came in slightly below what the Street wanted to see. That nuance matters. Traders were paying for a steady, maybe even accelerating, occupancy recovery. Instead, BKD delivered a slower grind higher, which often forces fast money to step aside or hit the exits. Under the hood, Brookdale Senior Living Inc. is still a low-margin, highly leveraged story. Revenue runs at roughly $3.19B annually with a gross margin near 26.9%, but net margins remain negative and pretax margins are around -5.2%. EBITDA margin near 14% and a price-to-sales ratio of 0.79 suggest the market already discounts the balance sheet risk, including long-term debt above $4.2B and interest coverage around 1.8, yet any wobble in operating trends - like this occupancy slowdown - can quickly pressure BKD as traders question how smooth the path to sustained profitability will be.
