Humana and BlackRock strike $2.8 billion deal for CenterWell Senior care clinics. US healthcare company Humana has entered into a new joint venture agreement with BlackRock to manage and expand its CenterWell Senior Primary Care clinic network, in a transaction valued at approximately $2.8 billion. Under the US healthcare company Humana has entered into a new joint venture agreement with BlackRock to manage and expand its CenterWell Senior Primary Care clinic network, in a transaction valued at approximately $2.8 billion. Under the agreement, BlackRock's HPS Investment Partners will acquire the existing equity stake held by private equity firm Welsh, Carson, Anderson & Stowe (WCAS), while Humana's CenterWell division will retain a minority ownership stake and continue operating the clinics. The joint venture covers nearly 150 senior-focused primary care clinics across the United States. The transaction replaces the existing partnership between CenterWell and WCAS, which helped expand the clinic network over the past seven years. The deal is expected to close in the fourth quarter of 2026, subject to customary closing conditions and state and federal regulatory approvals. Humana said the new arrangement is expected to provide additional growth capital, improve financial flexibility and lower its cost of capital. The structure is also expected to significantly reduce liabilities on Humana's balance sheet by removing put-option arrangements associated with the existing joint ventures. Over the next two years, the joint venture expects to deploy additional capital to support existing clinics, establish new locations and expand the network through strategic acquisitions. CenterWell will continue to manage day-to-day operations, with no anticipated disruption to patient care during the transition. Beginning in 2028, CenterWell will have the option to purchase clinics from the joint venture. If it has not acquired all the clinics by the end of 2033, BlackRock will have the right to initiate a sale process for the remaining clinics. CenterWell will retain the right to submit the first offer for those assets. The deal marks Humana's second strategic transaction involving BlackRock in 2026, following a separate agreement to divest its minority interest in hospice provider Gentiva to an investor consortium that includes BlackRock. CenterWell operates within Humana's healthcare services business and focuses on senior primary care through a value-based care model, which links healthcare delivery and reimbursement to quality and patient outcomes. The company describes itself as the largest provider of senior-focused primary care in the United States. The transaction is not expected to have a material impact on Humana's adjusted earnings guidance for 2026. The companies expect the partnership to support the clinic network's long-term growth while allowing CenterWell to retain operational control and continue delivering care to older adults.
BlackRock will take over management of the CenterWell senior primary care centres, under an agreement with majority owner Humana. It will buy the stake held by private equity firm Welsh, Carson, Anderson & Stowe (WCAS), which Humana said is a $2.8 billion position. BlackRock will be majority owner of 150 clinics that WCAS developed and operated under a 2022 deal with Humana. CenterWell, which has more than 350 centres in 12 states, will keep operating independently. BlackRock plans new investments, including new centres and possible buyouts of competitors. CenterWell may buy back the clinics from 2028, but cannot be forced to. The old WCAS deal had such a "put" provision. The deal is expected to close by the end of the year.
Humana, BlackRock enter joint venture to manage Senior Primary Care clinics. Published on 10/13/2026 at 06:54 am EDT Kelly Cloonan Humana and BlackRock are teaming up on a joint venture to manage an existing network of CenterWell Senior Primary Care clinics. The arrangement replaces CenterWell's existing joint ventures with Welsh, Carson, Anderson & Stowe (WCAS), which currently manage the portfolio of clinics, through BlackRock's acquisition of WCAS's current equity stake, according to a Tuesday filing with the Securities and Exchange Commission. The new arrangement includes certain modifications to the existing terms of the JV with WCAS. Under the new agreement, BlackRock doesn't have a put option, meaning it can't force Humana to buy out its share in the venture. The change will result in Humana recording a liability on its balance sheet at fair value, though the company said it expects a reduction in the liabilities on its balance sheet associated with the new arrangement overall compared to the put arrangements for the existing joint ventures. Additionally, CenterWell will have the option to begin purchasing clinics from the joint venture beginning in 2028. If CenterWell hasn't acquired all of the joint venture's clinics by the end of 2033, BlackRock would be able to exit the JV through a sale process for the remaining clinics in the portfolio. Humana also backed its guidance of at least $9 in adjusted earnings per common share for the year ending Dec. 31. TempraMed posts record July sales, then announces a CenterWell Pharmacy deal. The contract is dated August 25. TempraMed announced it on September 23, in a release whose news section runs a single sentence. The company on the other side of that sentence is CenterWell Pharmacy, the pharmacy services brand of Humana. CenterWell Pharmacy agreement dated August 25, announced September 23. TempraMed Technologies Ltd. (CSE: VIVI) (OTCQB: TMPTF) (FSE: 9DY) announced on September 23 that it has entered into a distribution agreement with CenterWell Pharmacy, Inc., which the company describes as the pharmacy services brand of Humana Inc. (NYSE: HUM), a major US health insurer. The agreement itself is dated August 25, 2026, four weeks before the announcement. The release does not explain the gap. The products involved are named only in the release's forward-looking statements, which refer to the anticipated distribution of VIVI Cap and VIVI Epi by CenterWell. TempraMed sells them as part of a line of patented thermal-insulation devices for temperature-sensitive medications, built to operate continuously without batteries or external power. The company calls these devices FDA-registered. In plain terms, registration means a manufacturer and its devices are listed with the agency; it is not FDA clearance or approval, and the release does not claim either. No dollar value was attached to the deal. No launch date either. CenterWell agreement carries no stated minimum orders and a 60-day exit. What terms were disclosed sit in the cautionary language rather than the announcement. Either party can terminate the agreement on 60 days' prior written notice, according to the release, and the same section warns there is no assurance that any orders will be placed or any revenue generated under it. One line there reads oddly. The phrase stating that the agreement "does not contain minimum purchase commitments" appears inside square brackets in the release as distributed on Newsfile, the kind of formatting a drafter uses to mark text for review. Taken at face value, it says CenterWell has not committed to buy anything. The release does not address whether the brackets were meant to come out before publication. Channel access is what TempraMed has here. Revenue from that channel is a separate matter the release leaves open. TempraMed reports record July sales of about US$522,000. Five days before the CenterWell news, TempraMed published an interim sales update. July 2026 sales reached approximately US$522,000, the highest monthly figure in the company's history. August came in at approximately US$403,000, its second-highest month. For the eight months ended August 31, sales totaled approximately US$2.07 million, already above the roughly US$1.8 million the company recorded for all of fiscal 2025. All of those figures are preliminary and unaudited. The company states they could change materially once its financial statements for the period ended September 30 are completed. August was also about 23% below July, which the release's "strong August performance" headline does not dwell on. Chief Executive Officer Ron Nagar attributed the growth to a push beyond direct-to-consumer sales into institutional, pharmacy, distributor and healthcare-system channels. Broader use of temperature-sensitive injectables, with insulin and GLP-1 medications named specifically, was cited by the company as a second driver. Those are management's explanations, not independently verified findings. Management also expects third-quarter 2026 sales to be significantly stronger than the same quarter of 2025; that is a forecast, not a reported result. Neither release disclosed a cash balance or a burn rate. No specific cash runway or going-concern language was identified in the sources reviewed for this article. TempraMed's Q3 2026 financial statements are expected in November. TempraMed has said its third-quarter 2026 financial statements are not expected until November. Those statements will be the first formal financial report covering the July and August sales the company has already previewed as estimates. No start date for distribution through CenterWell has been disclosed, and the company has not said it will report sales through that channel separately. Sources. Editorial disclosure. This article is based entirely on publicly available information, specifically TempraMed Technologies' September 23 and September 18, 2026 press releases as distributed by Newsfile. The securities discussed are TempraMed Technologies Ltd. (CSE: VIVI) (OTCQB: TMPTF) (FSE: 9DY) and Humana Inc. (NYSE: HUM), the latter referenced only as the parent of the counterparty, CenterWell Pharmacy, Inc. aktiego.com has not received any compensation from TempraMed, Humana, their management, investor relations representatives, or any third party. No staff member or principal of aktiego.com holds a position in either security at the time of publication. The CenterWell distribution agreement is dated August 25, 2026 and was announced September 23, 2026. Per the company's own cautionary language, there is no assurance that any orders will be placed or any revenue generated under it, and either party may terminate it on 60 days' written notice. The statement that the agreement contains no minimum purchase commitments appears in square brackets in the release as distributed; this article reports it as written. No dollar value, volume, or distribution start date was disclosed. This is a distribution arrangement, not contracted revenue. TempraMed's July, August, and year-to-date sales figures are preliminary, unaudited estimates that the company says may change materially on completion of its financial statements for the period ended September 30, 2026. Management's expectation of stronger third-quarter 2026 sales is a forward-looking statement. The company's reasons for its sales growth are its own characterizations and have not been independently verified by aktiego.com. TempraMed describes its devices as FDA-registered; registration is a listing step and does not constitute FDA clearance or approval. No specific cash runway, cash balance, or going-concern disclosure was identified in the sources reviewed. The Canadian Securities Exchange has not reviewed and does not accept responsibility for the adequacy or accuracy of TempraMed's releases, per the company's own standard disclosure.
