American AgCredit raises $150M in subordinated debt to dodge 8.5% rate reset cliff

American AgCredit issued $150 million in subordinated notes to redeem $200 million of preferred stock ahead of a costly interest rate reset. The farm lender, the nation's fifth-largest Farm Credit association, used the proceeds plus $50 million cash to retire Series A preferred stock that was set to reset from 5.25% to approximately 8.50% in June 2026. The new 15-year notes carry a 6.75% fixed rate for ten years, generating annual savings of nearly $6.9 million. Piper Sandler served as sole initial purchaser for the private placement. The cooperative, which oversees a loan portfolio exceeding $20 billion across seven states, serves more than 12,000 agricultural member-owners. The refinancing preserves its ability to provide stable credit during a period of agricultural sector stress, with nonaccrual loans reaching 2.39%. McDermott Will & Emery and Dorsey & Whitney provided legal counsel on the transaction.
