Grupo Amorim now directly holds 32.67% of Estoril-Sol.

Grupo Amorim now directly holds 32.67% of Estoril-Sol. Finansol now holds 57.79% of Estoril-Sol's share capital and 58.09% of its voting rights, while Fozpatrimónio (of Grupo Amorim) directly holds 32.67% of the share capital and 32.84% of the voting rights. It should be remembered that Finansol is controlled by the family of Chinese businessman Stanley Ho, who died in 2020. September 15, 2026, 8:38 p.m. Estoril-Sol, SGPS reported this Tuesday, September 15, 2026, that it had received a communication from Fozpatrimónio - Sociedade Imobiliária e Turística, regarding the transfer of a qualifying holding in the company. Finansol now holds 57.79% of Estoril-Sol's share capital and 58.09% of its voting rights, and Fozpatrimónio (of Grupo Amorim) directly holds 32.67% of the share capital and 32.84% of the voting rights. It should be remembered that Finansol is controlled by the family of Chinese businessman Stanley Ho, who died in 2020, with his daughter Pansy Ho currently standing out, and is linked to STDM (Macau Tourism and Amusement Company Limited). According to the statement, Sociedade Figueira Praia (SFP) held 3,917,793 Estoril-Sol shares, corresponding to 32.67% of the share capital and 32.84% of the voting rights, taking into account the 62,565 treasury shares held by Estoril-Sol itself. This holding was transferred to Fozpatrimónio as part of a spin-off/merger operation. The public deed was executed on August 14, 2026, and the definitive registration took place on August 17, the date from which the operation took effect. With the registration, the spun-off assets - including the aforementioned holding - came to be held by Fozpatrimónio. The chain of attribution remains unchanged. Amorim - Entertainment e Gaming International SGPS (AEGI) holds around 98.38% of Fozpatrimónio's capital, as it did in Sociedade Figueira Praia. AEGI's capital is wholly held by Amorim Turismo, SGPS, so the qualifying holding remains attributable to the latter company. The attribution ends at Amorim Turismo, under Article 20 of the Portuguese Securities Code, since its capital is held in equal parts by three companies without individual control. After the operation, the holders of qualifying holdings in Estoril-Sol are Finansol - Sociedade de Controlo, owner of 6,930,604 shares, corresponding to 57.79% of the share capital and 58.09% of the voting rights. Also considering 1,000 shares held by members of the management bodies of companies in a controlling or group relationship, the global direct and indirect holding stands at 57.80% of the capital and 58.10% of the voting rights. Fozpatrimónio - Sociedade Imobiliária e Turística became the direct holder of 3,917,793 shares, representing 32.67% of the share capital and 32.84% of the voting rights. It should be recalled that until July 2026, SFP was majority-controlled by Amorim Gambling (belonging to the Portuguese Grupo Amorim), but in that month the Spanish multinational Cirsa, in the gaming sector, which was controlled by the North American investment fund Blackstone, completed the purchase of an exclusive controlling position in Sociedade Figueira Praia, the entity that owns and operates Casino da Figueira. A few weeks after the deal in Portugal, the Italian group Lottomatica acquired all of Cirsa from Blackstone. You may also like

Lottomatica kept its full-year adjusted EBITDA guidance unchanged after reporting higher revenue, profit and online market share in the first half of 2026. The Italian operator said performance for the six months to 30 June was driven by its online division, which offset softer results in gaming and sports. Group revenue reached €1.18bn in H1, up 5% year-on-year. Adjusted EBITDA rose 10% to €465.3m, while adjusted net profit, excluding acquisition-related and other non-recurring items, came to €196m. The company had previously set full-year adjusted EBITDA guidance at between €930m and €970m. Pre-tax profit for the six-month period increased 67% to €181m. After €65m in income tax, statutory net profit rose 70% year-on-year to €116m, while profit attributable to owners of the parent company climbed 64% to €112.9m. Online division drives revenue and share gains. Online revenue increased 13% to €525.1m during the half. Online gross gaming revenue, a measure of wagering revenue after winnings are paid out, rose 11% to €916m, while online bets grew 12% to €16.2bn. Market share also moved higher in Italy's online segment during the second quarter. Lottomatica reported total online market share of 31.6%, up 1.1 percentage points year-on-year. Its online sports betting share reached 31.8%, while its iGaming share stood at 31.6%. Retail segments post declines. Outside online, the group's other divisions recorded weaker revenue trends. Gaming revenue fell 2% to €380m, with gross gaming revenue down 3% to €1.15bn and total bets slipping 2% to €5.3bn. Sports revenue edged down 1% to €275m and sports gross gaming revenue declined 2% to €352m. Betting volume still rose 10% to €2.2bn, helped by the 2026 FIFA World Cup in the latter part of the period. Management points to margin expansion. Across the full business, gross gaming revenue increased 2% to €2.4bn and total bets rose 9% to €23.7bn. Online adjusted EBITDA margin improved to 57.9%, compared with 54.1% in the first half of 2025. Guglielmo Angelozzi, chairman and CEO at Lottomatica, commented: "Q2 of 2026 continues to show our consistency in growth on all key financial and business metrics. We have seen adjusted EBITDA growth in every quarter in the last 10 years - except during Covid restrictions - continuous and substantial margins increase on the back of a consistently growing online market and market share."
