Definitive Healthcare shares jumped 13% after Advent International submitted a non-binding proposal to acquire shares it doesn't already own for $1.02 per share in cash. The offer represents a 36% premium to the company's 60-day volume-weighted average trading price of $0.75 per share as of 31 August. The proposal covers all outstanding Class A common stock and Definitive OpCo Units not owned by Advent and stockholder Jason Krantz. Advent assumes Krantz, the company's founder and Executive Chairman, would roll over his equity into the surviving company. The transaction requires approval from Definitive Healthcare's Special Committee of independent directors. Advent stated the proposal is not subject to a financing condition but remains non-binding. Separately, Definitive Healthcare appointed Clay Ritchey as CEO, effective 8 September, replacing Kevin Coop.

Ritchey brings over 25 years of experience in healthcare data and technology markets. He most recently served as CEO of Verato, a healthcare master data management company. Previously, he held senior leadership positions at Evariant, Imprivata, and Equinox Healthcare. Definitive Healthcare reported Q2 fiscal 2026 revenue of $55.2 million, down 9% year-over-year, while adjusted EBITDA of $14.6 million exceeded guidance. The company generated $11.6 million in unlevered free cash flow during the quarter. CEO Kevin Coop said the firm's diversified and provider businesses, representing over 60% of revenue, are recovering faster than its life sciences segment. Trailing-12-month net dollar retention improved for the second consecutive quarter. The biopharma segment posted its strongest new-business quarter in three years outside Q4, including four returning customers. CFO Casey Heller noted that claims-data-related downselling has begun to lessen after adding new data sources, though it remains early to assess full impact.
