Requirements
  • Four to seven years of legal experience.
  • Juris Doctor from an accredited law school and admission to at least one U.S. state bar.
  • Experience drafting and negotiating complex commercial agreements with limited supervision.
  • Strong project management skills and attention to detail, including the ability to organize, plan, coordinate, and implement large and cross-functional projects and work independently and as part of a team.
  • Ability to communicate legal analysis concisely to senior business leaders and other company stakeholders.
  • Ability to balance legal risk with business objectives and manage multiple matters in a fast-paced environment.
Responsibilities
  • Draft and negotiate commercial contracts, including vendor contracts, professional services agreements, power purchase agreements, engineering, procurement and construction agreements, operations and maintenance agreements, asset purchase agreements, interconnection and transmission agreements, letters of intent, and nondisclosure agreements.
  • Advise company leaders regarding deal structure, risk mitigation, contract interpretation, and regulatory compliance for energy and infrastructure projects.
  • Provide leadership and support for strategic transactions, including mergers and acquisitions, joint ventures, project finance, due diligence, transaction document review, and post-closing integration support.
  • Assist with corporate governance, including preparation and maintenance of board and committee materials, corporate records, and entity management for project companies and subsidiaries.
  • Develop, implement, and maintain policies and procedures addressing compliance under Federal Energy Regulatory Commission licenses, energy law, permits and approvals, environmental laws, employment and labor obligations, structured financings, tax credits, and other legal requirements.
  • Monitor federal and state regulatory developments affecting the business and work with regulatory specialists to integrate requirements into contracts and internal processes.
  • Provide training to commercial and operational teams on contract standards, approval workflows, and compliance topics, and support internal audits and investigations as needed.
  • Manage and coordinate outside counsel on specialized matters while driving efficiency and budget discipline.
Desired Qualifications
  • At least 3 years at a law firm or in-house legal department focused on commercial transactions, project development, or mergers and acquisitions.
  • Energy or infrastructure experience.
  • Familiarity with energy-sector project documents, including power purchase agreements, interconnection agreements, engineering, procurement and construction agreements, and project-level services and supply contracts.
