Requirements
  • Juris Doctor from an American Bar Association-accredited law school.
  • Active membership in good standing of the State Bar of Texas.
  • At least 10 years of legal experience, including law firm and/or in-house corporate counsel experience.
  • At least 5 years of in-house corporate counsel experience supporting commercial business operations.
  • At least 5 years of experience supporting logistics, transportation, supply chain, freight forwarding, warehousing, or other commercial business operations.
  • At least 5 years of strong knowledge of transportation and logistics regulations, including import/export, customs compliance, freight forwarding, and supply chain operations.
  • Extensive experience drafting, reviewing, and negotiating complex commercial agreements, including transportation, warehousing, procurement, technology, and customer service contracts.
  • Strong knowledge of United States corporate law, commercial transactions, labor and employment law, litigation management, regulatory compliance, and corporate governance.
  • Demonstrated experience advising executive leadership on legal risk, strategic business initiatives, and corporate transactions.
  • Experience managing litigation, claims, regulatory matters, and outside counsel.
  • Proven ability to balance legal risk with business objectives while providing practical, solution-oriented legal advice.

Responsibilities
  • Develop and execute the Company's legal strategy in alignment with business objectives and long-term growth.
  • Serve as a legal advisor to executive leadership on strategic initiatives, operational matters, and corporate governance.
  • Identify legal risks across the organization and implement proactive risk mitigation strategies.
  • Review legal policies, procedures, and governance frameworks to support scalable business operations.
  • Manage corporate records, entity governance, state registrations, licenses, and legal documentation.
  • Provide legal guidance throughout the contract lifecycle while balancing legal risk with business objectives.
  • Develop and maintain standard contract templates and contract management processes.
  • Draft, review, negotiate, and manage complex commercial agreements, including customer service, transportation, warehousing, third-party logistics, freight forwarding, carrier, vendor and procurement, technology and software-as-a-service, confidentiality, real estate lease, standard operating procedure, and master service agreements.
  • Monitor regulatory developments and communicate business impacts.
  • Ensure compliance with applicable federal, state, and local laws and regulations affecting the logistics and transportation industry.
  • Advise business leaders on transportation regulations, hazardous materials, Department of Transportation and Resource Conservation and Recovery Act compliance, customs and international trade, import/export regulations, supply chain compliance, data privacy, employment laws, and corporate governance.
  • Manage litigation, arbitration, claims, and regulatory investigations.
  • Direct and supervise outside counsel while controlling legal expenses.
  • Develop litigation strategies aligned with business priorities.
  • Resolve commercial disputes through negotiation and alternative dispute resolution when appropriate.
  • Draft, review, and negotiate legal documents relating to claims.
  • Communicate internally with relevant stakeholders and externally with insurance brokers, carriers, third-party administrators, and legal counsel.
  • Interpret and advise on applicable laws, regulations, policies, procedures, and legal requirements related to claims, litigation, and dispute resolution.
  • Analyze collected data to determine claim validity, coverage, and liability.
  • Provide legal advice to internal clients for resolving claims and complaints.
  • Work toward resolution of claims files and attend arbitrations, mediations, or trials as necessary.
  • Evaluate legal exposure associated with new business initiatives.
  • Conduct legal due diligence for acquisitions, strategic partnerships, and corporate transactions.
  • Review insurance coverage and contractual indemnification provisions.
  • Collaborate with Finance, Risk Management, Human Resources, Sales, Procurement, Operations, and Information Technology to minimize enterprise risk.
  • Provide timely, practical, business-focused legal counsel to functional departments and business leaders.
  • Participate in executive leadership and cross-functional meetings to support strategic decision-making and business initiatives.
  • Translate complex legal issues into practical business recommendations.
  • Support new business opportunities by identifying legal risks while balancing commercial objectives and business growth.
  • Partner with global headquarters in Korea to communicate legal and business matters, provide guidance on United States legal requirements, and implement global legal policies and best practices across United States operations.
  • Partner with United States and Canadian business teams to provide legal guidance and support business objectives while managing legal and regulatory risks.
  • Coordinate with Canada-based paralegal resources and external legal counsel to support Canadian operations, claims management, compliance matters, and legal documentation requirements.
  • Coordinate with global headquarters and regional legal teams to implement consistent legal standards and best practices across North American operations.
  • Develop and maintain corporate compliance programs.
  • Create policies and procedures promoting ethical business practices.
  • Conduct internal investigations when necessary.
  • Deliver legal and compliance training to employees and management.
  • Support and manage the company's legal function.

FORE Biotherapeutics closes upsized $67.4M Series D-2 financing, reaches target enrollment in BRAF V600E CNS tumour study

FORE Biotherapeutics has closed an upsized $67.4 million Series D-2 extension financing, bringing total Series D-2 funding to $110 million. The round was co-led by SR One, Medicxi, and SymBiosis, with participation from new investors including TaiAx, LG Technology Ventures, Primer Ventures, and Axil, alongside existing backers. The registration-stage oncology company will use proceeds to advance late-stage development of plixorafenib, its lead BRAF inhibitor for cancer treatment. FORE has reached target enrollment in the BRAF V600E primary CNS tumour basket of its FORTE study, with topline results expected around end of 2026. Plixorafenib received Breakthrough Therapy Designation from the FDA in April 2026. The company plans a regulatory submission in 2027 for BRAF V600E CNS tumours and continues evaluating the therapy in rare BRAF V600 mutated solid tumours and advanced solid tumours with BRAF fusions.

Samsung SDS adds Google Cloud AI to platform after cloud unit hits $1.9B revenue
