Requirements
  • Significant company secretary experience within an Australian Securities Exchange-listed organisation, including direct engagement with a Board Chair and senior executives.
  • A tertiary qualification, ideally in law, business, finance, or a related discipline.
  • Strong working knowledge of the Australian Securities Exchange Listing Rules, Corporations Act 2001, and corporate governance requirements.
  • Experience using Diligent Boards.
  • Exceptional written and verbal communication skills, with the confidence and judgement to work constructively with Board members and senior stakeholders.
  • Strong organisational and prioritisation skills, with the ability to deliver high-quality work in a fast-paced and deadline-driven environment.
  • High levels of discretion, integrity, and sound judgement when managing confidential and commercially sensitive information.
  • A collaborative leadership style and the ability to build trusted relationships across different functions and levels of the organisation.
  • A proactive approach, strong attention to detail, and willingness to take ownership through to completion.

Responsibilities
  • Partner closely with the Chair to support the efficient and effective operation of the Board and its Committees.
  • Act as a key connection point between the Board and Group Executive Team by coordinating agendas, Board and Committee papers, policies, and meeting requirements.
  • Attend Board and Committee meetings, ensuring minutes accurately capture key discussions and decisions and that agreed actions are communicated, followed through, and completed.
  • Plan and facilitate Board strategy sessions, workshops, director inductions, ongoing education, and compliance training.
  • Own the Board and Board Committee calendars and support the ongoing maintenance of charters and governance frameworks.
  • Organise and manage shareholder meetings, including the Annual General Meeting.
  • Provide guidance on governance policies, procedures, and frameworks, including the operation of delegated authorities.
  • Partner with Legal Counsel to support compliance with Australian Securities Exchange reporting requirements and applicable corporate governance obligations.
  • Oversee required Australian Securities and Investments Commission forms and returns, ensuring obligations are completed accurately and within prescribed timeframes.
  • Support equity issuances under incentive programs and the administration of shares through the Employee Share Trust.
  • Contribute to the preparation and lodgement of the Annual Report.
  • Oversee company secretarial requirements for subsidiary entities, including director appointments and departures and other required corporate actions.
  • Lead, develop, and empower the team by creating clarity, accountability, and an environment where people can do their best work.
Desired Qualifications
  • Graduate Diploma of Applied Corporate Governance from the Governance Institute of Australia.

Zip explores earned wage access service launch in US by 2027

Australian buy now, pay later company Zip is considering launching an earned wage access service in the US during the first half of 2027. The company reported net income of AU$116 million for fiscal 2026, up 46% year-on-year, with 76% of its AU$16.7 billion transaction volume coming from the US market. Zip is exploring both employer-based and direct-to-consumer EWA approaches. Nearly half of Zip's customers have already used earned wage access or cash-advance products, according to US CEO Joe Heck. The company faces competition from larger rivals including Affirm Holdings, Block's Afterpay, and Klarna. Zip is winding down New Zealand operations to focus on Australia and the US, and considering a US stock listing alongside its Australian listing.

Zip Co shares jumped 17% to $2.97 after the buy now, pay later company reported a 46% rise in statutory profit to $116.4 million for the year ended 30 June. Cash earnings before tax, depreciation and amortisation reached a record $268.9 million, up 58% on the prior year. The company guided to cash EBTDA of $340 million for FY27, representing 26% year-on-year growth. Total transaction volume increased 23% to $16.7 billion, with US transaction volume rising 42.5% in US dollar terms. Zip announced a $50 million on-market share buyback for FY27 and is considering a potential dual listing in the US alongside a share consolidation, subject to shareholder approval.

UBS Group AG has acquired a 5.02% stake in Australian fintech company Zip Co Limited, becoming a substantial shareholder. The Swiss banking giant now holds a relevant interest in 62.5 million ordinary shares as of 24 July 2026.
