Constellation Brands secures $300M delayed draw term loan for corporate flexibility

Constellation Brands has entered into a new term loan credit agreement worth up to $300 million with Manufacturers and Traders Trust Company and other lenders. The delayed draw facility, established on 18 September 2026, will be used for general corporate purposes, including potential debt repayment. The two-year term loans carry interest linked to Term SOFR or a base rate with rating-based margins. Unused commitments will incur a ticking fee beginning 30 days after closing. The agreement includes covenants that mirror the company's existing revolving credit facility. These impose limits on subsidiary indebtedness, liens, mergers, affiliate transactions, and sale-leasebacks, whilst requiring minimum interest coverage and maximum net leverage ratios. The structure is designed to reinforce Constellation Brands' financial flexibility and balance-sheet management.

Constellation Brands shares down 28% from 52-week high despite beating Q1 earnings expectations

Constellation Brands stock has declined 28.2% from its 52-week high of $168.60, significantly underperforming the consumer defensive sector. The Rochester-based beer, wine, and spirits producer saw shares fall 12.3% year-to-date and 17.2% over the past year, whilst the State Street Consumer Staples Select Sector SPDR ETF gained 8.2% and 4.3% respectively over the same periods. The company, with a market capitalisation of approximately $20.6 billion, faces challenges despite recent positive earnings. First-quarter results on 30 June showed earnings per share of $3.43 beating expectations of $3.25, with net sales of $2.43 billion exceeding forecasts. However, organic revenue has disappointed over two years, with projected sales growth of just 1.1% over the next 12 months dampening investor sentiment.

Constellation Brands hits 52-week low at $128 despite 3.2% dividend yield and Modelo dominance

Constellation Brands shares have fallen 53% from their peak to around $128, near a 52-week low of $126.45, as weaker consumer spending pressures sales. The stock now trades at roughly 11 times forward earnings. In fiscal 2026, organic sales dropped 10% year over year, driven by weakness in wine. However, recent results show stabilisation, with comparable organic sales up 3% last quarter. Beer represents over 90% of total sales. Despite the decline, Constellation's brands remain strong. Modelo Especial is the top US beer brand by dollar sales, and the company's beer portfolio gained the most market share last quarter. The company generates $1.83 billion in trailing free cash flow and recently raised its dividend to $1.03 per share quarterly, yielding 3.2% — the highest in company history.

Diageo struggles while Constellation gains hedge fund favour despite sector headwinds

Jim Cramer has shifted his stance on the alcoholic beverage sector, showing cautious optimism for Constellation Brands whilst remaining bearish on Diageo. He highlighted Constellation's new CEO, Ned Fink, as a potential catalyst for growth, noting Fink's successful track record at Jim Beam. Diageo faces multiple headwinds, including a 34.9% sales decline in China and an 8.4% drop in North American net sales. The stock has fallen 52% over five years. Constellation grew beer sales 2% to $2.28 billion in fiscal Q1, beating earnings expectations. However, beer depletion fell 0.3%, whilst wine and spirit sales dropped 10%. Hedge funds appear to favour Constellation, with 56 funds holding stakes versus 35 for Diageo. However, Diageo trades at a higher forward P/E ratio of 14.41 compared to Constellation's 11.36.
